Except as provided in Section 6.04 and subject to payment of any outstanding amounts due under any Deficiency Loan or any Preferred Contributions, the Company shall, as determined by the Members as a Major Decision, make distributions of Available Cash to the Members in proportion to their then respective Percentage Interests, it being acknowledged that it is the intent of the Members to distribute Available Cash regularly but consistent with business requirements and the Transaction Documents.
If specific performance of the obligations of ROFO Seller is not available, then the ROFO Seller shall owe to each ROFO Buyer, as a Deficiency Loan, an amount equal to the product of (x) such ROFO Buyer’s ROFO Buyer Pro Rata Share and (y) five percent (5%) of the ROFO Final Price (which amount shall be deemed liquidated damages, actual damages under such circumstances being difficult if not impossible to determine).
The Sponsor shall not and shall ensure that the Issuer shall not, without the prior written consent of Debenture Trustee, terminate, amend or grant any waiver in respect of any document or instrument evidencing any Deficiency Loan.
The maturity of each Deficiency Loan shall not occur prior to the Final Settlement Date.
If more than one Electing Member makes a Deficiency Loan to a Failing Member, or an Electing Member makes more than one Deficiency Loan to the same Failing Member, pursuant to this Section 7.3(a)(i), then the amounts payable to such Electing Members in respect thereof shall be apportioned in accordance with the principal amounts of such Deficiency Loans then outstanding.
