Definitive Preferred Certificate definition

Definitive Preferred Certificate means a certificate representing Designated Preferred Stock registered in the name of the holder thereof and issued in accordance with Section 13 hereof, substantially in the form of Exhibit I hereto except that such Certificate shall not bear the Global Shares Legend.

  • No such transfer or exchange of a Restricted Definitive Preferred Certificate or of an interest in the Restricted Global Preferred Security shall be effective unless the transferor delivers to the Trust a certification (in the applicable form set forth on the reverse of the Definitive Preferred Certificate) as to compliance by such Person with the provisions of this Declaration applicable to such transfer or exchange.
