District Fault definition

District Fault means any breach, failure of compliance, or nonperformance by District of its obligations hereunder or any negligence or willful misconduct by District under this Agreement (whether or not attributable to any officer, member, agent, employee, representative, contractor, subcontractor of any tier, or independent contractor of District other than the Operator and its Contractors) that materially and adversely affects the Operator’s performance or the Operator’s rights or obligations under this Agreement.
District Fault means any breach (including the untruth or breach of any District representation or warranty set forth in the Service Contract), failure, non-performance or non-compliance by the District under the Service Contract with respect to its obligations and responsibilities under the Service Contract to the extent not attributable to any Uncontrollable Circumstance or Company Fault, and which materially and adversely affects the Company's rights, obligations or ability or costs to perform under the Service Contract.
