D&O Liability Insurance definition

D&O Liability Insurance shall have the meaning ascribed to such term in Section 15.1.
D&O Liability Insurance refers to any policy or policies of insurance maintained by the Company for directors and officers in their capacities as such (and for any capacity in which any director or officer of the Company serves any other Enterprise at the request of the Company), in respect of acts or omissions occurring while serving in that capacity.
D&O Liability Insurance. The Joint Parties agree to an amount in D&O liability insurance funding $2,495,000 less than requested by the Applicant. This amount reflects a compromise among the parties on both the reasonable cost of future D&O liability insurance as well as the appropriate sharing of this expense between shareholders and ratepayers. The Settlement does not adopt any specific policy on whether these costs should be shared between shareholders and ratepayers.

Examples of D&O Liability Insurance in a sentence

  • Upon request by Indemnitee, the Company shall provide copies of all policies of D&O Liability Insurance obtained and maintained in accordance with Section 7.01 of this Agreement.
