  • If Funding LP or DTAG Canada defaults in the performance of any of the Servicer Obligations and such default is continuing, the Indenture Trustee is entitled to require the Guarantor to honour this Guarantee by personally performing or causing to be performed such Servicer Obligations forthwith.

  • In case of the liquidation, dissolution, winding-up, insolvency or bankruptcy of Funding LP or DTAG Canada (whether voluntary or involuntary) or in the event that Funding LP or DTAG Canada shall make an arrangement or composition with its creditors, the Indenture Trustee shall have the right to rank in priority to the Guarantor for the Indenture Trustee’s and the Noteholders’ full claims in respect of the Guarantor’s Obligations not then satisfied.
