DTC Regulation S Global Security definition

DTC Regulation S Global Security means a fully registered book-entry security substantially in the form of Part 3-C of the First Schedule to the Trust Terms Module to be deposited on or prior to the issue date for the Securities with or on behalf of DTC and registered in the name of its nominee Cede & Co. pursuant to which any Securities offered and sold outside the United States to non-U.S. persons in reliance on Regulation S under the Securities Act will be represented.
