No action has been taken by Acquiror or any Subsidiary that would give rise to any valid claim against any party hereto for a brokerage commission, finder’s fee or other like payment with respect to the transactions contemplated by this Agreement, excluding the fees to be paid by Acquiror to Duff & Pxxxxx, LLC in amounts and on terms set forth in Section 4.3(r) of the Acquiror Disclosure Schedule.

Except for Credit Suisse and Duff & Pxxxxx, LLC whose fees will be paid by the Company on or before the Closing Date, no broker, finder, investment banker, financial advisor or other person, the fees and expenses of which will be paid by the Company, is entitled to any broker’s, finder’s, financial advisor’s or other similar fee or commission in connection with the Merger and the other Transactions based upon arrangements made by or on behalf of the Company.
Except for Duff & Pxxxxx, LLC and Duff & Pxxxxx Securities, LLC, no broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Transactions based upon arrangements made by or on behalf of the Company.

The Company has received the written opinion of each of Credit Suisse and Duff & Pxxxxx, LLC, dated the date of this Agreement, to the effect that, as of such date, the consideration to be received in the Merger by the holders of Company Common Stock, other than the Excluded Persons, is fair to such holders from a financial point of view, a signed copy of which opinion has been (or will be promptly following the date of this Agreement) delivered to Parent.
The Adviser, being duly authorized, hereby employs Duff & Pxxxxx Investment Management Co. (the “Subadviser”) as a discretionary adviser to invest and reinvest that discrete portion of the assets of the Fund designated by the Adviser (the “Allocated Portion”) as set forth on Schedule F attached hereto on the terms and conditions set forth herein.
The Special Committee has received the opinion of Duff & Pxxxxx, LLC to the effect that, as of the date of this Agreement, the Merger Consideration to be received by the shareholders of the Company is fair to such shareholders (other than the Rollover Holders) from a financial point of view.
