Dutch Guarantor definition

Dutch Guarantor means any Guarantor organized under Dutch law.
Dutch Guarantor means each Restricted Subsidiary of the Designated Company organized under the laws of the Netherlands party hereto as a Guarantor, and each other Restricted Subsidiary of the Designated Company organized under the laws of the Netherlands that becomes a Guarantor pursuant to the terms hereof.

  • The guarantee of any Additional Guarantor that is not an Austrian Guarantor, a Belgian Guarantor, a Dutch Guarantor, a Finnish Guarantor, a German Guarantor or a US Guarantor shall be subject to any limitation relating to that Additional Guarantor as set out in any relevant Accession Letter and agreed by the Agent (acting reasonably).

  • The guarantee of any Dutch Guarantor shall be deemed to have been given only to the extent that such guarantee does not violate the prohibition on financial assistance contained in Sections 2:98c and 2:207c of the Dutch Civil Code (Burgerlijk Wetboek).

  • For the avoidance of doubt, it is expressly acknowledged that each Dutch Guarantor will continue to guarantee all obligations expressed to be guaranteed in this Senior Notes Indenture and the other Senior Note Documents, to the extent that such obligations do not constitute a violation of the Prohibition.

  • Each Dutch Guarantor has the requisite corporate power and authority to execute the Opinion Documents to which it is a party and to perform it respective obligations and to exercise its respective rights thereunder.
