Early General Redemption definition

Early General Redemption has the meaning set forth in Section 4.3(a).

Examples of Early General Redemption in a sentence

  • If any Note called for redemption shall not be so paid upon surrender thereof for redemption, the principal shall, until paid, bear interest from the Early General Redemption Date or the Early Tax Redemption Date, as applicable, at the Note Rate.

  • Upon surrender of such Notes for redemption in accordance with the notice, such Notes shall be paid by the Issuer at the Early General Redemption Price or the Early Tax Redemption Price, as applicable.

  • At least one Business Day prior to any Early General Redemption Date or Early Tax Redemption Date, as the case may be, the Issuer shall deposit with the Trustee an amount of money sufficient to pay the Early General Redemption Price or the Early Tax Redemption Price, as applicable, of all the Notes.

  • At least one Business Day prior to any Early General Redemption Date or Early Tax Redemption Date, as the case may be, the Issuer will provide to the Paying Agent a notice regarding the payment by the Issuer to the Paying Agent of the Early General Redemption Price or the Early Tax Redemption Price, as applicable.

  • At least one Business Day prior to any Early General Redemption Date or Early Tax Redemption Date, as the case may be, the Issuer will provide to the Principal Paying Agent a notice regarding the payment by the Issuer to the Principal Paying Agent of the Early General Redemption Price or the Early Tax Redemption Price, as applicable.

  • At least one Business Day prior to any Early General Redemption Date or Early Tax Redemption Date, as the case may be, the Issuer shall deposit with the Indenture Trustee an amount of money sufficient to pay the Early General Redemption Price or the Early Tax Redemption Price, as applicable, of all the Notes.

  • Notice of redemption contemplated by Sections 4.2 and 4.3 shall be given by the Issuer by first-class mail, postage prepaid, mailed not less than 30 nor more than 60 days prior to the proposed Early General Redemption Date or the proposed Early Tax Redemption Date, as the case may be, to each Noteholder, at its address appearing in the Note Register.

  • At least one Business Day prior to any Early General Redemption Date or Early Tax Redemption Date, as the case may be, the Issuer will provide to the New York Paying Agent or Principal Paying Agent, as the case may be, a notice regarding the payment by the Issuer to the New York Paying Agent or Principal Paying Agent, as the case may be, of the Early General Redemption Price or the Early Tax Redemption Price, as applicable.

  • Optional Redemption Amount means the sum of (a) 120% of the then outstanding principal amount of the Debenture, (b) accrued but unpaid interest and (c) all liquidated damages and other amounts due in respect of the Debenture.

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Special Redemption Date has the meaning set forth in Section 10.2.

  • Optional Redemption Price shall have the meaning set forth in Section 3.2.

  • Optional Redemption Amount (Call) means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Initial Redemption Date means, with respect to any Note or portion thereof to be redeemed pursuant to Section 3.1(b), the date on or after which such Note or portion thereof may be redeemed as determined by or pursuant to the Indenture or a Note Certificate of Supplemental Indenture.

  • Final Redemption Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Special Redemption Price has the meaning set forth in paragraph 4(a) of Annex I.

  • Optional Redemption Notice Date shall have the meaning set forth in Section 6(a).

  • Optional Redemption Premium means, with respect to any Series, the premium (expressed as a percentage of the Liquidation Preference of the shares of such Series) payable by the Fund upon the redemption of MuniFund Term Preferred Shares of such Series at the option of the Fund, as set forth in the Appendix for such Series.

  • Optional Redemption Amount (Put) means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Early Redemption Amount means in respect of each Note in circumstances where such Notes are redeemed early pursuant to Conditions 7(b) or (c), the outstanding principal amount of each Note, unless otherwise specified in the Final Terms or Series Offering Document, as applicable;

  • Early Redemption Date means the date on which the Notes become due and payable pursuant to Condition 9;

  • Early Redemption Notice means an irrevocable notice from the Issuer to Noteholders in accordance with Condition 23 (Notices) (or, in the case of Condition 8(f) (Redemption Following the Occurrence of an Event of Default), from the Trustee to the Issuer) that specifies that the Notes are to be redeemed pursuant to one of Conditions 8(c) (Redemption Following a Collateral Event) to 8(f) (Redemption Following the Occurrence of an Event of Default). An Early Redemption Notice given pursuant to Condition 8 (Redemption and Purchase) must contain a description in reasonable detail of the facts relevant to the determination that the Notes are to be redeemed and, in the case of an Early Redemption Notice given by the Issuer, must specify the anticipated Early Redemption Date and which of Conditions 8(c) (Redemption Following aCollateral Event) to 8(f) (Redemption Following the Occurrence of an Event of Default), as the case may be, are applicable. A copy of any Early Redemption Notice shall also be sent by the Issuer, or the Trustee, as the case may be, to all Transaction Parties, save that any failure to deliver a copy shall not invalidate the relevant Early Redemption Notice.

  • Monthly Redemption means the redemption of this Debenture pursuant to Section 6(b) hereof.
