Eatox Xxxup definition

Eatox Xxxup means Eaton, each Subsidiary and Affiliated Company of Eaton (other than any member of the Axcelis Technologies Group) immediately after the Separation Date, after giving effect to the Non-US Plan, and each Person that becomes a Subsidiary or Affiliated Company of Eaton after the Separation Date.

  • Axcelis Technologies shall reimburse Eaton for any and all direct and indirect costs and expenses associated with its participation in the Eatox Xxxup Life Plan, subject to Section 8.1.

  • Axcelis Technologies shall cease to be a Participating Company in the Eatox Xxxup Life Plan coincident with the Non-Controlled Group Date.

  • Eaton Indemnitees" means Eaton, each member of the Eatox Xxxup and each of their respective directors, officers and employees.

  • No provision of this Agreement, the Separation Agreement or any other Ancillary Agreement shall be deemed to release any individual from his or her obligations under any agreement relating to confidential or proprietary information of any member of the Eatox Xxxup, or otherwise relieve any individual of his or her obligations under any non-competition agreement.
