Trust Certificate means a certificate evidencing the beneficial interest of a Certificateholder in the Trust, substantially in the form of Exhibit A to the Trust Agreement.
Grantor Trust Certificates Any class of commercial mortgage pass-through certificates issued under this Agreement that is designated as evidencing an interest in the Grantor Trust. The Class S Certificates and the Class VRR Certificates shall be the only Classes of Grantor Trust Certificates issued under this Agreement.
Trust Certificates means the asset backed certificates issued pursuant to the Trust Agreement, substantially in the form of Exhibit A to the Trust Agreement.
Trust Certificateholder means the Person in whose name a Trust Certificate is registered on the Certificate Register.
Residual Interest Certificate means any of the Class R-I Certificates, the Class R-II Certificates, the Class R-III Certificates or, if issued in accordance with Section 2.06, the Class R-LR Certificates.
Definitive Trust Certificates shall have the meaning set forth in Section 3.10.
Class N Certificate means any of the Certificates with a "Class N" designation on the face thereof, substantially in the form of Exhibit A-4 attached hereto, and evidencing a portion of a class of "regular interests" in REMIC III for purposes of the REMIC Provisions.
Ownership Certificate An equity certificate representing a 100% undivided beneficial ownership interest in the Trust, substantially in the form attached as part of Exhibit A to the Trust Agreement.
Residual Certificates As specified in the Preliminary Statement.
Class L Certificate means any of the Certificates with a "Class L" designation on the face thereof, substantially in the form of Exhibit A-4 attached hereto, and evidencing a portion of a class of "regular interests" in REMIC III for purposes of the REMIC Provisions.
The Certificates The Offered Certificates shall be issued as follows:
Physical Certificate As specified in the Preliminary Statement.
Residual Certificate The Class R Certificate.
Certificate Register and Certificate Registrar The register maintained and the registrar appointed, respectively, pursuant to Section 5.03.
Final Certificate means the final certificate issued by the Engineer-in-Charge in accordance with the provisions hereof.
Physical Certificates As specified in the Preliminary Statement.
Class J Certificate means any one of the Certificates with a "Class J" designation on the face thereof, substantially in the form of Exhibit A-4 attached hereto, and evidencing a portion of a class of "regular interests" in REMIC III for purposes of the REMIC Provisions.
Class B Certificateholder means the Person in whose name a Class B Certificate is registered in the Certificate Register.
Class A-R Certificateholder The registered holder of the Class A-R Certificate.
Trust Securities Certificate means any one of the Common Securities Certificates or the Preferred Securities Certificates.
Individual Certificate Any Private Certificate registered in the name of the Holder other than the Depository or its nominee.
Class A-R Certificate The Certificate executed by the Trustee and authenticated by the Trustee or the Authenticating Agent in substantially the form set forth in Exhibit A-R and Exhibit C hereto.
Class R Certificate The Class R Certificate executed by the Trustee, and authenticated and delivered by the Certificate Registrar, substantially in the form annexed hereto as Exhibit A and evidencing the ownership of the Class LT-R Interest and the residual interest in the Upper Tier REMIC.
Class C Certificateholder means the person in whose name a Class C Certificate is registered on the Certificate Register.
Investor Certificate means any one of the certificates (including, without limitation, the Bearer Certificates, the Registered Certificates or the Global Certificates) executed by the Transferor and authenticated by the Trustee substantially in the form (or forms in the case of a Series with multiple classes) of the investor certificate attached to the related Supplement.
Accrual Certificates As specified in the Preliminary Statement.
