Effective Change of Control definition

Effective Change of Control means the occurrence, within a single transaction or series of related transactions occurring within the same 12-month period, of a change in the identity of persons who individually or collectively hold rights to elect, or to approve the election of, a majority of the members of the Board, including, without limitation, transactions consisting of one or more sales or other transfers of assets or equity securities, mergers, consolidations, amalgamations, reorganizations, or any similar transactions; and

Effective Change of Control means either (a) any event as a result of or following which any Person beneficially owns or exercises control or direction over voting securities carrying 30% or more of the votes attached to all voting securities then outstanding or (b) the sale to a Person who is not affiliated with the Corporation within the meaning of the OBCA of assets at a price greater than or equal to 30% of the net assets of the Corporation other than the assets of Surgical Navigation Specialists Inc., as shown on a consolidated balance sheet for the Corporation at the end of the last completed quarter of the then current financial year or as at the end of the last completed financial year if the sale occurs during the first quarter of a financial year.
