  • Each of the EFI Shareholders who has entered into an EFI Support Agreement with Xxxxxxx shall have complied in all material respects with its EFI Support Agreement.

  • Each of the EFI Shareholders who has entered into an EFI Support Agreement with Titan shall have complied in all material respects with its EFI Support Agreement.
