Employee Pool definition

Employee Pool has the meaning set forth in the LLC Agreement.
Employee Pool means (i) the lesser of (a) 3,000,000 shares of Common Stock (as adjusted for any stock dividend, stock split, combination or other similar recapitalization with respect to Common Stock occurring after September 30, 2010) or (b) the total number of shares to be sold on account of selling stockholders in the Initial IPO (without giving effect to the exercise of any overallotment option by the underwriters) plus (ii) if the underwriters exercise an overallotment option with respect to the Initial IPO, an additional number of shares of Common Stock equal to the lesser of (a)(1) 450,000 shares of Common Stock (as adjusted for any stock dividend, stock split, combination or other similar recapitalization with respect to Common Stock occurring after September 30, 2010) plus (2) the Employee Pool Shortfall Amount or (b) the total number of shares subject to the overallotment option that are to be sold on account of selling stockholders in the Initial IPO.

  • To the extent that the Board and/or Employee Pool determines that you would be subject to the additional 20% tax imposed on certain non-qualified deferred compensation plans pursuant to Section 409A as a result of any provision of this Agreement, such provision shall be deemed amended to the minimum extent necessary to avoid application of such additional tax.

  • Neither the Partnership nor Employee Pool will have any obligation to register under the Securities Act any LTIP Units or Plan Class A Units or any other securities issued upon conversion of the LTIP Units.

  • Employee Pool may assign or delegate its right to repurchase hereunder to any Person.

  • The Grantee, desiring to become a member of QualityTech Employee Pool, LLC, hereby accepts all of the terms and conditions of, and becomes a party to, the Limited Liability Company Agreement of Quality Tech Employee Pool, LLC (the “LLC Agreement”).

  • If Employee Pool exercises its right to purchase such interests, it will notify you of its intention to purchase such LTIP Units and/or Plan Class A Units, and will consummate the purchase within one year after your termination of Service.

Employee Pool means QualityTech Employee Pool LLC, a Delaware limited liability company formed for purposes of implementing the Plan with respect to Profits Interests.

  • Employee Program means (A) all employee benefit plans within the meaning of ERISA Section 3(3), including, but not limited to, multiple employer welfare arrangements (within the meaning of ERISA Section 3(40)), plans to which more than one unaffiliated employer contributes and employee benefit plans (such as foreign or excess benefit plans) which are not subject to ERISA; and (B) all stock option plans, bonus or incentive award plans, severance pay policies or agreements, deferred compensation agreements, supplemental income arrangements, vacation plans, and all other employee benefit plans, agreements, and arrangements not described in (A) above. In the case of an Employee Program funded through an organization described in Code Section 501(c)(9), each reference to such Employee Program shall include a reference to such organization;

  • Employee Pension Plan means any Employee Plan for the provision of retirement income to employees or which results in the deferral of income by employees extending to the termination of covered employment or beyond as defined in Section 3(2) of ERISA.

  • Employee Pension Benefit Plan has the meaning set forth in ERISA Section 3(2).

  • Employee Plan means an employee benefit plan within the meaning of Section 3(3) of ERISA (other than a Multiemployer Plan), regardless of whether subject to ERISA, that any Loan Party or any of its ERISA Affiliates maintains, sponsors or contributes to or is obligated to contribute to.

  • Company Employee Plan means any plan, program, policy, practice, contract, agreement or other arrangement providing for compensation, severance, termination pay, deferred compensation, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written or unwritten or otherwise, funded or unfunded, including without limitation, each "employee benefit plan," within the meaning of Section 3(3) of ERISA which is or has been maintained, contributed to, or required to be contributed to, by the Company or any Affiliate for the benefit of any Employee, or with respect to which the Company or any Affiliate has or may have any liability or obligation;
