Both during the Team Member's employment with the Company and after the termination thereof for any reason, Team Member agrees to provide the Company with such information relating to his work for the Company or others, as the Employer or Company may from time to time reasonably request in order to determine his compliance with this Agreement.
No deferral election shall be effective unless prior to the deadline for making such election, the Participant has filed with the Plan Administrator, in accordance with Plan Rules, an insurance consent form permitting the Participating Employer or Company to purchase and maintain life insurance coverage on the Employee with the Participating Employer or Company as the beneficiary.
If Executive should die, any benefits then due and payable to Executive under Section 1 of this Agreement shall be paid to Executive's "Beneficiary" as designated by Executive from time to time under Executive's then most recent principal life insurance coverage provided to Executive by the Post-Change Employer or Company.
Notwithstanding anything to the contrary set forth herein, Employee’s obligations under Sections 2(b), 2(c) and 2(d) shall immediately terminate and be of no further force or effect if the Employer or Company fails to make the payments or provide benefits to Employee required under the Agreement or Employer’s Change in Control Severance Benefit Plan, and fails to cure within thirty (30) days following receipt of written notice from Employee of its failure to pay.
The right of the Officer or any Beneficiary to receive a distribution under this Plan shall be an unsecured claim against the general assets of the Employer, and neither the Officer nor any Beneficiary shall have any priority rights in or against any assets of the Employer or Company and its Affiliates and Associates.
