Engaged Professional definition

Engaged Professional has the meaning set forth in Section 4.16(b).
Engaged Professional means any physician employed by or under Contract with an Acquired Company.
Engaged Professional means a psychiatrist, psychologist, therapist, mental health coach or other similar practitioner employed or under contract with the Company or any of its Subsidiaries.

Examples of Engaged Professional in a sentence

  • The Seller and each Engaged Professional is in compliance with all such Permits.

  • There are no Actions pending or, to the Seller’s Knowledge, threatened against or by the Seller, the Business, the Purchased Assets, any Engaged Professional or any Person at any time employed, engaged, or otherwise associated with the Seller (i) arising out of, relating to or affecting the Business or the Purchased Assets; or (ii) that challenge or seek to prevent, enjoin or otherwise delay the transactions contemplated by this Agreement.

  • Each of Target, APN and each Engaged Professional is in material compliance with all such Permits, and there are no provisions in, or Contracts relating to, any such Permits which preclude or restrict Target or APN from operating their respective businesses as they are currently operated.

  • All Permits required for the Seller and each Engaged Professional to operate the Business as currently operated or for the ownership and use of the Purchased Assets have been obtained by the Seller and each Engaged Professional and are valid and in full force and effect and, with respect to the Permits held by the Seller, and to Seller’s knowledge, are transferable to the Buyer.

  • Except as set forth in Section 3.13 of the Company Disclosure Letter, there is no Legal Proceeding pending against, or to the Knowledge of the Seller, threatened against, the PH Business or an Acquired Company or any of their respective assets or any Engaged Professional (solely with respect to services provided by such Person for or on behalf of an Acquired Company) before any Governmental Authority.

  • Each of Target, Telemed and each Engaged Professional is in compliance with all such Permits, and there are no provisions in, or Contracts relating to, any such Permits which preclude or restrict Target or Telemed from operating their respective businesses as they are currently operated.

  • Target uses commercially reasonable measures to assure that each Engaged Professional is properly licensed to conduct business with Target.

  • Health professional means any of the following:

  • Licensed professional means a professional registered in the Commonwealth of Virginia pursuant to Article 1 (§ 54.1-400 et seq.) of Chapter 4 of Title 54.1 of the Code of Virginia. For purposes of these Standards and Specifications a licensed professional is one that is certified by DPOR as an Architect, Professional Engineer, Land Surveyor, or Landscape Architects.

  • Paraprofessional means a person who does not have an academic degree related to the scope of treatment or support services being provided but performs prescribed functions under the general supervision of that discipline.

  • Medical professional means any person licensed or certified to provide health care services to

  • Qualified professional means, for the purposes of OAR 411-320- 0080, any of the following licensed professionals trained to make a diagnosis of a specific intellectual or developmental disability:

  • Retained Professional means an Entity: (a) employed in the Chapter 11 Cases pursuant to a Final Order in accordance with sections 327 and 1103 of the Bankruptcy Code and to be compensated for services rendered prior to the Effective Date, pursuant to sections 327, 328, 329, 330, or 331 of the Bankruptcy Code; or (b) for which compensation and reimbursement has been allowed by the Bankruptcy Court pursuant to section 503(b)(4) of the Bankruptcy Code.

  • Professional means an Entity: (a) employed pursuant to a Bankruptcy Court order in accordance with sections 327, 363, or 1103 of the Bankruptcy Code and to be compensated for services rendered prior to or on the Confirmation Date, pursuant to sections 327, 328, 329, 330, 331, and 363 of the Bankruptcy Code; or (b) awarded compensation and reimbursement by the Bankruptcy Court pursuant to section 503(b)(4) of the Bankruptcy Code.

  • Health profession means those licensed or regulated professions set forth in RCW 18.120.020(4).

  • Mental health professional means a psychiatrist,

  • Licensed Professional Engineer means a person acceptable to Buyer in its reasonable judgment who (a) is licensed to practice engineering in California, (b) has training and experience in the power industry specific to the technology of the Project, (c) has no economic relationship, association, or nexus with Seller or Buyer, other than to meet the obligations of Seller pursuant to this Agreement, (d) is not a representative of a consultant, engineer, contractor, designer or other individual involved in the development of the Project or of a manufacturer or supplier of any equipment installed at the Project, and (e) is licensed in an appropriate engineering discipline for the required certification being made.

  • Licensed professional counselor means a counselor licensed by a member state, regardless of the title used by that state, to independently assess, diagnose, and treat behavioral health conditions.

  • Registered Professional means a professional registered or licensed by and in the State of Florida and practicing under Chapter 471, 472, 481, or 492, F.S.

  • Health care professional means a physician or other health care practitioner licensed, accredited or certified to perform specified health care services consistent with state law.

  • Licensed mental health professional or "LMHP" means a physician, licensed clinical psychologist, licensed professional counselor, licensed clinical social worker, licensed substance abuse treatment practitioner, licensed marriage and family therapist, certified psychiatric clinical nurse specialist, licensed behavior analyst, or licensed psychiatric/mental health nurse practitioner.

  • Professional Client means a “Professional Client” for the purposes of CySEC Rules, as specified in the Client Categorization Policy found on the Company’s Website.

  • Licensed health care professional means a person who possesses a professional medical license that is valid in Oregon. Examples include, but are not limited to, a registered nurse (RN), nurse practitioner (NP), licensed practical nurse (LPN), medical doctor (MD), osteopathic physician (DO), respiratory therapist (RT), physical therapist (PT), physician assistant (PA), or occupational therapist (OT).

  • Registered professional engineer means a person who is registered as a professional engineer pursuant to s. 443.04, Stats.

  • Professional service or professional services means a professional service or professional services as defined in the Health Insurance Act 1973.

  • Nonprofessional services means any services not specifically identified as professional services in

  • Qualified mental health professional means a licensed medical practitioner or any other person meeting the qualifications specified in OAR 309-019-0125.

  • Professional Persons means all Persons retained by order of the Bankruptcy Court in connection with the Reorganization Cases, pursuant to sections 327, 328, 330 or 1103 of the Bankruptcy Code, excluding any ordinary course professionals retained pursuant to order of the Bankruptcy Court.

  • Professionals means those Persons (a) employed pursuant to an order of the Bankruptcy Court in accordance with Sections 327 or 1103 of the Bankruptcy Code and to be compensated for services pursuant to Sections 327, 328, 329, 330 and 331 of the Bankruptcy Code, or (b) for which compensation and reimbursement has been allowed by the Bankruptcy Court pursuant to Section 503(b)(4) of the Bankruptcy Code.

  • Unprofessional conduct means the same as that term is defined in
