Equity Escrow Amount definition

Equity Escrow Amount means a number of the Buyer Shares with an aggregate value of $2,500,000 calculated based on the average closing price of such common stock over the five (5) trading days immediately preceding the Closing Date.

Equity Escrow Amount means that number of shares of Parent Common Stock equal to $2,600,000 divided by the Parent Stock Price. “Equity Security” of any Person means any (i) capital stock, membership or partnership interest or other ownership interest of or in such Person,(ii) securities directly or indirectly convertible into or exchangeable for any for the foregoing; (iii) options, warrants, convertible notes or other rights directly or indirectly to purchase or subscribe for any of the foregoing or securities convertible into or exchangeable for any of the foregoing; or (iv) contracts, commitments, agreements, understandings, arrangements, calls or claims of any kind relating to the issuance of any of the foregoing or giving any Person the right to participate in or receive any payment based on the profits or performance of such Person (including any equity appreciation, phantom equity or similar plan or right).

Examples of Equity Escrow Amount in a sentence

  • Notwithstanding any term to the contrary in this Agreement, the Equity Escrow Amount shall only be available to satisfy the indemnity obligations of the Seller Parties set forth in Section 7.2(f) (provided that, for the avoidance of doubt amount of such Equity Escrow Amount shall not act as a cap on such indemnification obligation).
