Equity Financing Documents definition

Equity Financing Documents means each of the documents related to the consummation of the Equity Financing.

Equity Financing Documents means the agreements, documents and certificates contemplated by the Equity Financing.

Equity Financing Documents means the applicable Confidential Information Memoranda and any other documents pursuant to which the Convertible Preferred Stock and New Common Stock are issued and all other documents, instruments or agreements executed and delivered with respect to the Convertible Preferred Stock or the New Common Stock.

• The Investor shall have no obligation with respect to any fees or with respect to any claims made by or on behalf of other persons or entities for fees of a type contemplated in this Section that may be due in connection with the transactions contemplated by the Reserve Equity Financing Documents.

• Make any investment of capital in any Person either by purchase of stock or securities, contributions to capital, property transfer or otherwise or acquire or agree to acquire by any manner any business of any Person except pursuant to the transactions contemplated herein and in the SAP Financing Documents, the SAP NTP Financing Documents or the Tax Equity Financing Documents.

Equity Financing Documents means all of the agreements governing, or relating to, the Equity Financing.
