Investment Documents definition

Investment Documents means, with respect to any Core Portfolio Investment or any Senior Bank Loan Investment, any related loan agreement, security agreement, mortgage, assignment, all guarantees, note purchase agreement, intercreditor and/or subordination agreements, and UCC financing statements and continuation statements (including amendments or modifications thereof) executed by the Obligor thereof or by another Person on the Obligor’s behalf in respect of such Core Portfolio Investment or Senior Bank Loan Investment and any related promissory note, including, without limitation, general or limited guaranties and, if requested by the Administrative Agent, for each Core Portfolio Investment secured by real property by a mortgage document, an Assignment of Mortgage, and for all Core Portfolio Investments or Senior Bank Loan Investments with a promissory note, an assignment thereof (which may be by allonge), in blank, signed by an officer of the Borrower.

Investment Documents means, collectively, the Loan Documents and the Warrants.

Investment Documents means bearer securities, share certificates or other documents which are, or relate to, investments.

Examples of Investment Documents in a sentence

• The Custodian will not otherwise perform any other Services in relation to such Investment Documents.

• The Administrative Agent shall be entitled to rely on, and shall incur no liability under or in respect of this Agreement or any other Investment Document by acting upon, any Communication or any statement made to it orally or by telephone and believed by it to be genuine and signed or sent or otherwise authenticated (whether or not such Person in fact meets the requirements set forth in the Investment Documents for being the maker thereof).

• The Custodian may agree to provide physical safekeeping for Investment Documents delivered to it and will return such Investment Documents to the Information Classification: Limited Access Client upon receipt of Proper Instructions, subject to additional documentation and other requirements as the Custodian may specify from time to time.

• On and after the Effective Date, each reference in the LLCA to “this Agreement”, “hereunder”, “hereof”, “herein” and words of like import referring to the LLCA, and each reference in the other Investment Documents to the “LLCA,” “thereunder,” “thereof,” “therein” and words of like import referring to the LLCA shall mean and be a reference to the LLCA as amended by this Consent and Amendment.

• Investment Documents held in physical safekeeping will be segregated from documents of any other person and marked so as to clearly identify them as the property of the Client.

More Definitions of Investment Documents

Investment Documents means, for each Eligible Asset, the following documents or instruments entered into in respect of such Asset (including all material amendments, supplements or modifications thereto), to the extent applicable, each in form and substance reasonably acceptable to Administrative Agent, reasonably available and not waived by Administrative Agent in its sole but reasonable discretion:

Investment Documents is defined in the ECCA.

Investment Documents means this Agreement and any other documents entered into by the Company in connection with the Members acquiring and maintaining their Membership Interests in the Company.

Investment Documents means this Agreement, the Ancillary Agreements, and any certificate, Financial Statements, Interim Financial Statement, report or other document delivered pursuant to this Agreement or the transactions contemplated by this Agreement.

Investment Documents means, collectively, this Agreement, the Notes, the Warrant, the Guaranties, the Fee Letter, the Collateral Documents, the Investor Rights Agreement, the Personal Guaranty, the Registration Rights Agreement and all other agreements, instruments, certificates, closing and other letters and other documents executed and/or delivered in connection herewith or therewith, in each case as amended from time to time. The term Investment Documents excludes the Bank Credit Documents.

Investment Documents means (i) the Investment Agreement, dated as of April 28, 2014, by and among the Company, Parent and, solely for purposes of Sections 11.4, 11.5 and 11.16 thereof, Alibaba Group Holding Limited, and (ii) the Investor Rights Agreement, dated as of April 28, 2014, by and among the Company, Parent, and, solely for the purposes of Sections 7.1 and 7.2 and Article VIII therein, Alibaba Group Holding Limited and YF Venus Ltd.
