Equity Infusion definition

Equity Infusion means (i) in the case of Holdings, the sale or issuance of Equity Interests of Holdings to, or a capital contribution to Holdings by, ▇▇▇▇▇ ▇. ▇▇▇▇▇▇▇ or any of his affiliates and (ii) in the case of Intermediate Holdco, the sale or issuance of Equity Interests of Intermediate Holdco to, or a capital contribution to Intermediate Holdco by, Holdings which is financed by Holdings solely with the proceeds of the sale or issuance of Equity Interests and/or capital contributions described in preceding clause (i).
Equity Infusion means the receipt by Borrower of cash proceeds from the sale of its capital stock or Subordinated Debt, other than in a nonfinancing transaction to employees, officers, directors or consultants of the Borrower, in an aggregate amount of no less than Two Million Five Hundred Thousand Dollars ($2,500,000).
Equity Infusion means and refer to Bank-funded investment capital to be used by Borrower for investments and! or acquisitions.

Examples of Equity Infusion in a sentence

  • The Issuers will not have the right to redeem any Securities prior to November 15, 2004 (other than out of the Net Cash Proceeds of a Public Equity Offering or Strategic Equity Infusion, as described below, or upon a Change of Control Triggering Event).

Equity Infusion means the equity commitment pursuant to the Equity Commitment Agreement.

Equity Infusion means the first to occur of the Company's (a) Next Round Financing, (b) initial Public Offering, or (c) acquisition by or merger into another company, or the sale of all or substantially all assets to another company (other than a merger or consolidation in which all or substantially all of the individuals and entities who were beneficial owners of the capital stock immediately prior to such transaction beneficially own, directly or indirectly, more than 50% of the outstanding securities entitled to vote generally in the election of directors of the resulting, surviving or acquiring corporation in such transaction).
Equity Infusion has the meaning given to such term in Section 4.04 hereof.
