The Issuers will not have the right to redeem any Securities prior to November 15, 2004 (other than out of the Net Cash Proceeds of a Public Equity Offering or Strategic Equity Infusion, as described below, or upon a Change of Control Triggering Event).
The purchase, lease or other acquisition of all or substantially all of the assets of any Person or the purchase or other acquisition of all or substantially all of the capital stock or other equity interests of any Person, any of which is funded entirely by (A) cash of the Borrower and/or proceeds of Revolving Credit Loans, (B) Indebtedness permitted by item (vi) of Section 6.1, (C) an Additional Equity Infusion or (D) a combination thereof.
To the extent that Borrower and/or NYTC Member shall desire to make any Equity Infusion (regardless of whether or not such deliveries shall have been made and/or conditions shall have been satisfied), Borrower and/or NYTC Member shall expend (or cause to be expended) the Equity Infusion on Building Loan Costs or Project Loan Costs.
For purposes of this SECTION 5.1(B), Qualified Equity Infusion shall mean the most recent (i) equity investment of $5 million or more made by a "Strategic Investor" (as defined below) or (ii) equity investment of $10 million or more by a non-Strategic Investor.
As used in this Agreement, including the preamble and recitals hereto, the following terms shall have the respective meanings set forth below or in the Section of this Agreement referred to, unless the context otherwise requires: Additional Equity Infusion: Receipt by the Borrower on and after the Closing Date of the net proceeds of a public offering or private placement of Borrower’s equity securities.
