Equity Repurchase definition

Equity Repurchase means the repurchase or other acquisition or retirement for value of any Equity Interests of the Company pursuant to any stock repurchase plan of the Company approved by the Board of Directors of the Company and effected in accordance with Rule 10b-18 under the Exchange Act or otherwise in accordance with applicable law.
Equity Repurchase means the Borrower’s repurchase of its Equity Interests with respect to (a) any shares withheld to cover tax-withholding requirements relating to the vesting of restricted stock units issued pursuant to, and other ordinary course repurchases in respect of, the 2000 Stock Incentive Plan and (b) upon the consent of the Required Lenders, any other restricted stock units or stock options repurchased from former employees, directors or contractors in accordance with the terms of the Borrower’s restricted stock unit or stock option plans.
Equity Repurchase shall have the meaning set forth in Section 6.10(f).

Examples of Equity Repurchase in a sentence

  • Commencing with the date which is one hundred twenty (120) days after the Closing Date, each Loan Party shall maintain its primary lockbox deposit accounts exclusively with Bank of Montreal or its Affiliates and shall utilize Bank of Montreal and such Affiliates for all of its deposit accounts, disbursement accounts, Security Accounts and other Treasury Management and Other Services, with the exception of the Excluded Deposit Accounts and the Equity Repurchase Program Securities Account.

  • Borrower shall not permit the total Equity Repurchase Payments by it and the Company during any fiscal year to exceed $100,000,000.

Equity Repurchase means the Borrower's repurchase of its Equity Interests (a) with respect to (i) any shares withheld to cover tax-withholding requirements relating to the vesting of restricted stock units issued pursuant to, and other ordinary course repurchases in respect of, the 2000 Stock Incentive Plan and (ii) upon the consent of the Required Lenders, any other restricted stock units or stock options repurchased from former employees, directors or contractors in accordance with the terms of the Borrower's restricted stock unit or stock option plans; and (b) in connection with the workout and/or restructuring of problem accounts receivable in existence as of the Second Amendment Effective Date, in an aggregate amount for clause (b) up to but not exceeding 1,250,000 shares of Borrower stock.
Equity Repurchase is defined in Section 8.12.
