ERISA Opinion definition

ERISA Opinion means the opinion of nationally recognized independent ERISA counsel engaged by the Company, dated as of the Effective Date and substantially to the effect that there is no reason to anticipate that the ERISA Exemption will not be granted in substantially the form ARTICLE I: DEFINITIONS requested, which opinion the Company will obtain and rely upon if the ERISA Exemption is not received on or before the Effective Date.
ERISA Opinion means an opinion of counsel to SMS to the effect that the statements contained under the heading "ERISA Considerations" in each of the Prospectus dated March 4, 1999, the Prospectus Supplement dated March 4, 1999 and the Private Placement Memorandum dated March 4, 1999, each relating to the issuance of certain of the Notes, to the extent that such statements describe legal matters, present fair summaries of such legal matters.
ERISA Opinion has the meaning provided in Section 4.1(a)(v)(B).
