ERISA-Restricted Certificate. As specified in the Preliminary Statement.
ERISA-Restricted Certificate. The Class A-R, Class LT-R, Class B-4, Class B-5 or Class B-6 Certificates, and any Certificate that does not satisfy the applicable rating requirement under the Underwriter's Exemption.
ERISA-Restricted Certificate. Any Senior Subordinate Certificate.

  • For purposes of the preceding sentence, with respect to an ERISA-Restricted Certificate that is not a Private Certificate or a Residual Certificate, in the event the representation letter referred to in the preceding sentence is not furnished, such representation shall be deemed to have been made to the Trustee by the transferee's (including an initial acquirer's) acceptance of the ERISA-Restricted Certificates.

ERISA-Restricted Certificate. Any Class J, Class K, Class L, Class M, Class N, Class P or Class NR Certificate; provided that any such Certificate: (a) will cease to be considered an ERISA Restricted Certificate and (b) will cease to be subject to the transfer restrictions contained in Section 5.02(c) if, as of the date of a proposed transfer of such Certificate, either (i) it is rated in one of the four highest generic ratings categories by a Rating Agency or (ii) relevant provisions of ERISA would permit the transfer of such Certificate to a Plan.
ERISA-Restricted Certificate. Any Class X-IO and Class R Certificate and any Certificate with a rating below the lowest applicable rating permitted under an Underwriter’s Exemption.
