Closing Agent means the attorney, real estate firm, or closing company that is closing the cash sale qualifying purchase transaction and that prepares the cash sale settlement statement.
Closing Escrow Agreement means the Closing Escrow Agreement, dated as of the date hereof, between the Placement Agent, the Company and the Escrow Agent pursuant to which the Investors shall deposit their Investment Amounts with the Escrow Agent to be applied to the transactions contemplated hereunder, in the form of Exhibit B hereto.
Escrow Agent means the entity designated to serve as escrow agent under the Escrow Agreement.
Escrow End Date has the meaning specified in the Escrow Agreement.
Deposit Escrow Agreement has the meaning set forth in Section 2.2.
Escrow means any transaction in which any escrow property is delivered with or without transfer of legal or equitable title, or both, and irrespective of whether a debtor-creditor relationship is created, to a person not otherwise having any right, title or interest therein in connection with the sale, transfer, encumbrance or lease of real or personal property, to be delivered or redelivered by that person upon the contingent happening or non-happening of a specified event or performance or nonperformance of a prescribed act, when it is then to be delivered by such person to a grantee, grantor, promisee, promisor, obligee, obligor, bailee or bailor, or any designated agent or employee of any of them. Escrow includes subdivision trusts and account servicing.
Sellers’ Representative has the meaning set forth in the Preamble.
Indemnity Escrow Agreement means the Indemnity Escrow Agreement substantially in the form attached hereto as Exhibit B, among the Sellers, the Buyers and the Escrow Agent.
Seller Representative means Xxxxx Bank.
Escrow Holder means the bank or trust company designated as such pursuant to Section 9 hereof.
Final Closing means the last closing under the Private Placement;
Seller's Closing Certificate means the certificate of Seller in the form of Exhibit C attached hereto.
Seller Closing Certificate has the meaning set forth in Section 7.02(d).
Final Closing Statement has the meaning set forth in Section 2.4(a).
Second Closing has the meaning set forth in Section 2.2.
Buyer Closing Certificate has the meaning set forth in Section 7.03(d).
Escrow and Paying Agent Agreement means, with respect to either Class of Certificates, the Escrow and Paying Agent Agreement pertaining to such Class dated as of the date hereof between the Escrow Agent, the Underwriters, the Trustee for such Class and the Paying Agent, as the same may be amended, modified or supplemented from time to time in accordance with the terms thereof.
Settlement Agent means, with respect to any Transaction the subject of which is a Wet-Ink Mortgage Loan, the entity approved by Buyer, in its sole good-faith discretion, which may be a title company, escrow company or attorney in accordance with local law and practice in the jurisdiction where the related Wet-Ink Mortgage Loan is being originated. A Settlement Agent is deemed approved unless Buyer notifies Seller otherwise at any time electronically or in writing.
Escrow Deposit has the meaning set forth in Section 2.1.
Note Holder Representative means a Controlling Note Holder Representative or a Non-Controlling Note Holder Representative, as applicable.
Earnest Money Deposit (EMD) means the refundable amount to be submitted by the Bidder along with RFP documents to NMRC
Escrow Cash is defined in Section 4.1(a).
Final Closing Date shall have the meaning specified in Section 7.2(a) hereof.
Merger Closing Date the Closing Date (as defined in the Merger Agreement).
Final Closing Cash shall have the meaning set forth in Section 2.11(g).
Title Company means First American Title Insurance Company.
