Escrow Redemption definition

Escrow Redemption means the obligation of the Issuer to redeem all of the Securities, pursuant to Section 3.09 of the Indenture if the assumption is not consummated by the Conditions Precedent Date.
Escrow Redemption means the obligation of Depositor under the Indenture to redeem all of the Notes if the Escrow Conditions are not satisfied on or prior to the Conditions Precedent Date.
Escrow Redemption has the meaning specified in the definition of “Coherent Acquisition Permitted Notes.”

Examples of Escrow Redemption in a sentence

  • Prior to the Notes Assumption, the activities of the Escrow Issuers shall be restricted to issuing the Notes, issuing Capital Stock to, and receiving capital contributions from, Cequel or its Subsidiaries, performing their respective obligations under this Indenture and the Escrow Agreement, consummating the Notes Assumption or redeeming the Notes on the Escrow Redemption Date, as applicable, and conducting such other activities as are necessary or appropriate to carry out the activities described above.

  • On the day falling three Business Days after such notice of special mandatory redemption has been sent to all Holders of Notes and the release of the Escrow Property to the Trustee has occurred, (the “Escrow Redemption Date”), the Notes shall be redeemed at the Escrow Redemption Price.

  • If the Company complies with the provisions of the preceding paragraph, on and after the redemption or purchase date (including an Escrow Redemption Date), interest will cease to accrue on the Notes or the portions of Notes called for redemption or purchase.

  • On the Closing Date, (i) the Initial Purchasers shall have received the Escrow Agreement executed by the Company, the Trustee and the Escrow Agent and such agreement shall be in full force and effect; (ii) the Company shall have deposited the Escrow Property equal to the Escrow Redemption Amount with the Escrow Agent in accordance with the Escrow Agreement; and (iii) the Trustee shall have a first-priority security interest in the Escrow Account and the Escrow Property pursuant to the Escrow Agreement.
