If Buyer objects to the Estimated Adjustment, the Parties shall attempt to resolve their differences by negotiation.
At the Closing, (i) Buyer shall be required to pay to the Seller the amount equal to the Estimated Adjustment if the Estimated Adjustment is a positive number or (ii) the Seller shall be required to pay to Buyer the amount equal to the absolute value of the Estimated Adjustment if the Estimated Adjustment is a negative number.
