  • In the event that Buyers object to all or any portion of the Closing Statement (other than the Estimated Proration Statement, to which Buyers may not object until after the Closing in accordance with the provisions of Section 2.7(b)), Buyers and Parent shall work together in good faith to agree upon the amounts set forth therein prior to the Closing, but if the Parties are unable to resolve any such objection, the amount set forth in the Closing Statement shall control.
