Estimated Transaction Bonuses definition

Estimated Transaction Bonuses is defined in Section 2.3.
Estimated Transaction Bonuses means the Transaction Bonuses which are set out in the Completion Schedule; “Estimated Transaction Costs” means the Transaction Costs which are set out in the Completion Schedule;

Related to Estimated Transaction Bonuses

  • Transaction Bonuses means any transaction bonuses payable by the Sellers or their Affiliates on or after the Closing to the Transferred Employees.

  • Bonus Amount means the greater of (i) the average annual incentive bonus earned by Executive from the Company (or its affiliates) during the last three (3) completed fiscal years of the Company immediately preceding Executive’s Date of Termination (annualized in the event Executive was not employed by the Company (or its affiliates) for the whole of any such fiscal year), and (ii) the Executive’s target annual incentive bonus for the year in which the Date of Termination occurs.

  • Post-Closing Adjustment Amount has the meaning set forth in Section 2.04(c).

  • Closing Cash Consideration has the meaning set forth in Section 2.02.

  • Estimated Closing Indebtedness has the meaning set forth in Section 2.4(a).

  • Cash Amount means an amount of cash per Partnership Unit equal to the value of one share of Common Stock as determined under the applicable Exchange Rights Agreement on the Valuation Date of the Common Stock Amount.

  • Post-Closing Adjustment has the meaning set forth in Section 2.04(b)(ii).
