This Excess Cash Flow Certificate is limited in right of payment to certain collections and recoveries respecting the Receivables, all as more specifically set forth in the Agreement.
On or prior to the last Business Day of the first Fiscal Quarter in each Fiscal Year (commencing with the Fiscal Quarter ending March 31st immediately following the Fiscal Year in which the Initial Project Completion Date occurs), the Borrower shall deliver to the Lender a completed Excess Cash Flow Certificate setting out the Excess Cash Flow for the most recently completed Fiscal Year.
The Borrower fails to (A) deliver an executed Excess Cash Flow Certificate on the 15th day of each month or (B) make any required Cash Flow Payment.
