Excess Cash Flow Reserve Funds definition

Excess Cash Flow Reserve Funds shall have the meaning set forth in Section 7.5.1 hereof.

Excess Cash Flow Reserve Funds and the account in which such amounts are held shall hereinafter be referred to as the “Excess Cash Flow Reserve Account”.

Excess Cash Flow Reserve Funds means, collectively, the Liberty Excess Cash Flow Reserve Funds and the FT Excess Cash Flow Reserve Funds.

Examples of Excess Cash Flow Reserve Funds in a sentence

• Any Excess Cash Flow Reserve Funds remaining after the Debt has been paid in full shall be paid to Borrower.

• Upon the occurrence of a Cash Sweep Event Cure, all Excess Cash Flow Reserve Funds shall be deposited into the Cash Management Account to be disbursed in accordance with the Cash Management Agreement.

• Upon the occurrence of a Cash Sweep Event Cure, all Excess Cash Flow Reserve Funds shall be deposited into the Lockbox Account to be disbursed in accordance with Section 2.7.1 hereof.

• Upon the occurrence of a Cash Sweep Event Cure, all Excess Cash Flow Reserve Funds shall be deposited into the Cash Management Account to be disbursed to Borrower in accordance with the Cash Management Agreement.

• Any Excess Cash Flow Reserve Funds remaining after the Debt has been paid in full or the Loan has been defeased shall be paid to Borrower.

• Any Excess Cash Flow Reserve Funds (and all other Reserve Funds and all other funds in the Accounts) remaining after the Debt has been paid in full shall be paid to Borrower.

• Any Excess Cash Flow Reserve Funds remaining after the Debt has been paid in full shall be paid (x) to the most senior Mezzanine Lender to be held by such Mezzanine Lender pursuant to the applicable Mezzanine Loan Agreement for the same purposes as those described therein or (y) if the Mezzanine Loans are no longer outstanding, to Borrower.

• Any Non-Collateral Property Excess Cash Flow paid to Lender under clause (ii) of Section 5.6 of the Member Guaranty and any Excess Cash Flow Reserve Funds (as defined in the Senior Loan Agreement) paid to Lender under Section 7.8.2(a)(iii)(x) of the Senior Loan Agreement shall be applied to reduce the PIK Accrued Amount.

• Any Excess Cash Flow Reserve Funds remaining after the Debt has been paid in full shall be paid to Borrower..

• Upon the occurrence of a Cash Sweep Event Cure, so long as no Event of Default or other uncured Cash Sweep Event then exists, all Excess Cash Flow Reserve Funds shall be disbursed from the Cash Management Account to Borrower in accordance with the Cash Management Agreement.

Excess Cash Flow Reserve Funds and the account to which such amounts are held shall hereinafter be referred to as the “Excess Cash Flow Reserve Account”. If a Cash Sweep Event is due to a Debt Yield Trigger Event, the sweep of Excess Cash Flow shall cease if Borrower delivers a Letter of Credit to Lender for an amount equal to the difference between the current Net Cash Flow and the Net Cash Flow required to achieve a Debt Yield of seven and one half of one percent (7.5%) for six (6) consecutive months.
