Excess Cash Flow Sweep Period definition

Excess Cash Flow Sweep Period shall have the meaning set forth in the Mortgage Loan Agreement.
Excess Cash Flow Sweep Period means the period commencing on the date upon which (i) an Event of Default occurs or (ii) at any time the Debt Service Coverage Ratio (based on a ten (10.00%) mortgage constant, as detailed in the definition of the term Debt Service Coverage Ratio) is less than or equal to 1.10 to 1.00, and ending on the date all sums are permitted to be released from the Excess Cash Flow Reserve Account pursuant to Section 9.7 hereof.
Excess Cash Flow Sweep Period means the period commencing upon the occurrence of a Excess Cash Flow Sweep Event and terminating upon the occurrence of an Excess Cash Flow Sweep Period Termination.

Examples of Excess Cash Flow Sweep Period in a sentence

  • Borrower shall establish on the date hereof an Eligible Account into which Borrower shall deposit all Excess Cash on each Payment Date during any Excess Cash Flow Sweep Period (the “Excess Cash Reserve Account”).

  • During the continuance of an Event of Default, any Excess Cash Flow Sweep Period or any Extension Term Sweep Period, any Excess Cash Flow shall be deposited with Lender and held in an Eligible Account.

  • At such time as no Event of Default and no Extension Term Sweep Period or Excess Cash Flow Sweep Period (as applicable) exists, all Excess Cash Reserve Funds shall be released to Borrower and, so long as no Event of Default shall then exist, may be distributed by Borrower to its members.

Excess Cash Flow Sweep Period means (i) the period commencing on the date hereof and ending on the date that the Property shall have achieved a Debt Service Coverage Ratio (assuming for this purpose that the full Loan Amount has been advanced hereunder, after giving effect to (x) any reduction thereof pursuant to Section 2.1.5(c) and (y) any permitted prepayments of principal made by Borrower) of at least 1.05:1.00 for a calendar quarter and (ii) any period prior to expiration of the First Loan Year during which any portion of Future Funding Tranche B that Borrower is entitled to request has not yet been advanced to Borrower and (iii) any period during which any amount of Future Funding Tranche B that has been advanced to Borrower has not been repaid to Lender.”

Related to Excess Cash Flow Sweep Period

  • Excess Cash Flow means, for any period, an amount equal to the excess of:

  • Excess Cash Flow Period means each fiscal year of the Borrower, commencing with the fiscal year of the Borrower ending on December 31, 2016.

  • Excess Cash Flow Payment Period means, with respect to the repayment required on each Excess Cash Flow Payment Date, the immediately preceding fiscal year of the Borrower.

  • Retained Excess Cash Flow means, at any date of determination, an amount, equal to the aggregate cumulative sum of the Retained Percentage of Excess Cash Flow for the Excess Cash Flow Periods ended on or prior to such date.

  • Excess Cash Amount means, as of any Excess Cash Measurement Date, (a) the total amount of Unrestricted Cash, less (b) the sum of (i) the applicable Minimum Cash Threshold hereto corresponding to such Excess Cash Measurement Date, (ii) the total amount of scheduled payments due by OEC and its Subsidiaries, taken as a whole, under (x) the New Notes and (y) any other Permitted Indebtedness in each case in the subsequent twelve (12) month period, (iii) projected expenses for the Issuer to conduct its operations during the subsequent twelve (12) month period, including any foreign currency conversion expenses and (iv) for any Excess Cash Measurement Date through (and including) December 31, 2024, any Fines due by OEC and its Subsidiaries for the subsequent twelve (12) month period; less (c) an amount equal to the Required Gross-Up; provided that any items already deducted from cash and short-term investments of OEC and its Subsidiaries for purposes of determining Unrestricted Cash shall not be deducted again for purposes of determining the Excess Cash Amount.

  • Monthly Excess Cashflow For any Distribution Date, an amount equal to the sum of the Monthly Excess Interest and Overcollateralization Release Amount, if any, for such date.

  • Cash Flow from Operations means net cash funds provided from operations, exclusive of Cash from Sales or Refinancing, of the Company or investment of any Company funds, without deduction for depreciation, but after deducting cash funds used to pay or establish a reserve for expenses, debt payments, capital improvements, and replacements and for such other items as the Board of Directors reasonably determines to be necessary or appropriate and subject to Loan Conditions.

  • Annualized Operating Cash Flow means, for any period of three complete consecutive calendar months, an amount equal to Operating Cash Flow for such period multiplied by four.

  • Cash Flow Available for Debt Service for any period, means (i) Cash Flow received during such period minus (ii) (A) all O&M Costs paid during such period and (B) if an Equity Cure has been made in any fiscal quarter during the period for which Cash Flow Available for Debt Service is calculated, the lesser of the aggregate amount of (x) such Equity Cure during such period and (y) the aggregate amount of cash distributions paid by the Company during such period.

  • Net Cash Flow means, with respect to the Property for any period, the amount obtained by subtracting Operating Expenses and Capital Expenditures for such period from Gross Income from Operations for such period.
