Excess Transaction Fees definition

Excess Transaction Fees means any Transaction Fees received by the Company or the Manager or any of its Affiliates that exceed the amount of subsequently payable Management Fees pursuant to the Management Agreement.
Excess Transaction Fees means the amount, if any, of Third Party Expenses incurred by the Company in connection with the Merger in excess of the Covered Transaction Fees.

Excess Transaction Fees means the difference between (i) the amount of fees, costs and expenses paid or payable to the Company’s Counsel, the Company’s Accountants and the Company’s Financial Advisor in connection with this transaction or any other transaction, except as contemplated by this Agreement, minus (ii) the Maximum Transaction Fees.

  • Transaction Fees means fees paid or payable by the Service Recipients, which are on market terms, with respect to financial advisory services ordinarily carried out by investment banks in the context of mergers and acquisitions transactions;

  • Termination Fee Event has the meaning ascribed thereto in Section 8.2(2).

  • Liquidation Fees shall have the meaning assigned to such term in the Servicing Agreement or such other analogous term used in the Servicing Agreement.

  • Unpaid Transaction Expenses has the meaning specified in Section 2.4(c).
