Exchange Assets definition

Exchange Assets means each asset that is held by MNG or by any of its direct or indirect subsidiaries that is treated as a partnership or disregarded entity for purposes of the applicable Tax, at the time of an Exchange.
Exchange Assets means the assets owned by Lazard Group as of an applicable Exchange Date (and any asset whose tax basis is determined, in whole or in part, by reference to the adjusted basis of any such asset).
Exchange Assets means the assets owned by IBG LLC as of an applicable Exchange Date (and any asset whose tax basis is determined, in whole or in part, by reference to the adjusted basis of any such asset).

Exchange Assets has the meaning assigned to that term in subsection 2.4B(iii)(a).
