Exclusions from Confidential Information. The obligations set forth in this Agreement shall not apply to any information that: (a) is or becomes publicly known through no fault of the Recipient; (b) was rightfully known to the Recipient prior to disclosure by the Disclosing Party; (c) is rightfully obtained by the Recipient from a third party without breach of any confidentiality obligation; or (d) is independently developed by the Recipient without reference to the Confidential Information.

  • Business Confidential Information has the meaning set forth in Section 5.04(a).

  • Confidential Information means any communication or record (whether oral, written, electronically stored or transmitted, or in any other form) provided to or made available to Contractor or that Contractor may create, receive, maintain, use, disclose or have access to on behalf of HHS that consists of or includes any or all of the following:
