Exercisable Awards definition

Exercisable Awards means any Stock Option or any Other Stock-Based Award that provides for a Participant-elected exercise.
Exercisable Awards means any Award under the Plan of any Stock Option and any Other Stock Based Award that provides for a Participant-elected exercise.
Exercisable Awards means any Awards under this Plan (including Options, Stock Unit Awards and Stock Appreciation Rights) pursuant to which an Awardee will have the right, either by exercise thereof or pursuant to a stated maturity date, to receive, purchase or acquire Shares or cash.

Examples of Exercisable Awards in a sentence

  • Items identified with a “Y” (for yes) apply and items with a “N” (for no) do not apply.

  • If the Acquisition Event does take place after giving such notice, any Exercisable Awards not exercised prior to the date of the consummation of such Acquisition Event shall be forfeited simultaneous with the consummation of the Acquisition Event.

  • An Invitation may specify, and the Board may otherwise determine, that a minimum number or multiple of Exercisable Awards can be exercised at any given time of exercise.

  • If Performance Rights have vested and the Performance Rights are Exercisable Awards, they will be converted to Shares as soon as practicable thereafter.

  • In the event of a Control Event, the Board may, in its discretion, determine that all or a specified number of a Participant's unvested Awards vest or in the case of Exercisable Awards may be exercised having regard to all relevant circumstances, including whether performance is in line with the Vesting Conditions over the date of grant of the Award to the date of the relevant Control Event and the circumstances of the Control Event.

  • If an Acquisition Event occurs but the Committee does not terminate the outstanding Exercisable Awards pursuant to this Section 4.2(d), then the applicable provisions of Section 4.2(b) and Article IX shall apply.

  • Allegion shall be responsible for all Liabilities associated with Allegion Exercisable Awards and Allegion Unexercisable Awards exercised by an Allegion Group Employee or Former Allegion Group Employee, including any option exercise, share delivery, registration or other obligations related to the exercise of the Allegion Options.

  • For the avoidance of doubt, in the event of an Acquisition Event, the Committee may, in its sole discretion, terminate any Exercisable Award for which the exercise price is equal to or exceeds the Fair Market Value without payment of consideration therefor.If an Acquisition Event occurs but the Committee does not terminate the outstanding Exercisable Awards pursuant to this Section 4.2(d), then the applicable provisions of Section 4.2(b) and Article XIII shall apply.

  • If any shares of Restricted Stock, Performance Shares or Other Stock-Based Awards that are not Exercisable Awards, denominated in shares of Common Stock, granted under the Plan are forfeited for any reason, the number of forfeited shares of Restricted Stock, Performance Shares or such Other Stock-Based Awards shall again be available for the purposes of Awards under the Plan, as provided in this Section 4.1(a).

  • SARS means the South African Revenue Service.

  • Full Value Award means an Award other than in the form of an ISO, NQSO, or SAR, and which is settled by the issuance of Shares.

  • Appreciation Award means any Award under this Plan of any Stock Option, Stock Appreciation Right or Other Stock-Based Award, provided that such Other Stock-Based Award is based on the appreciation in value of a share of Common Stock in excess of an amount equal to at least the Fair Market Value of the Common Stock on the date such Other Stock-Based Award is granted.

  • Stock Appreciation Right or “SAR” means a right to receive the appreciation on Common Stock that is granted pursuant to the terms and conditions of Section 5.

  • Director Award means the grant of any Award (other than an Incentive Stock Option), whether granted singly, in combination, or in tandem, to a Participant who is a Director pursuant to such applicable terms, conditions, and limitations established by the Board.
