Exercise Condition definition

Exercise Condition shall have the meaning assigned to it in Section 2 hereof.
Exercise Condition means a condition or conditions imposed under Rule 2.2;
Exercise Condition means in respect of an Option any condition set out in the Offer which must be satisfied before that Option can be exercised or any other restriction on exercise of that Option specified in the Offer or in these Rules.

Examples of Exercise Condition in a sentence

  • Following the satisfaction of the Exercise Condition described in Article 1.1, this Warrant will be exercisable in whole or in part at any time and from time to time on or before the Expiration Date.

  • This Warrant may be exercised by the Holder on any day on or after the date the Exercise Condition has been satisfied (an “Exercise Date”), in whole or in part, by delivery (whether via facsimile or otherwise) of a written notice, in the form attached hereto as Exhibit A (the “Exercise Notice”), of the Holder’s election to exercise this Warrant.

  • In any 90-day period, no more than the lesser of (i) 50% of the aggregate amount of Warrants initially issued to a Holder or (ii) the number of Warrants held by the Holder, may be called by the Company and the Company may not call additional Warrants in any subsequent 90-day period unless all the conditions specified in Section 15(a) are again satisfied as provided above (including without limitation, the Minimum Price Condition, the Registration Condition and the Exercise Condition).

  • The Company covenants that, subject to the satisfaction of the Exercise Condition, during the period the Warrant is outstanding, it will reserve from its authorized and unissued Common Stock a sufficient number of shares to provide for the issuance of the Warrant Shares upon the exercise of any purchase rights under this Warrant.

  • The Directors may impose an Exercise Condition which has been approved by the majority of the shareholders of the Company on any Option which they grant preventing its exercise unless such condition has been complied with.
