Exercise Amount definition

Exercise Amount means for any number of Warrant Shares as to which this Warrant is being exercised the product of (i) such number of Warrant Shares times (ii) the Exercise Price.

Exercise Amount has the meaning set forth in Section 2(a).

Exercise Amount means the amount payable by the holder as a condition to the exercise of one Right. Until and unless it shall be adjusted in accordance with this Agreement, the Exercise Amount shall be $200.

Examples of Exercise Amount in a sentence

• The total number of Warrant Shares (as defined below) which may be purchased pursuant to this Warrant is equal to the Maximum Exercise Amount.

• The Company hereby irrevocably grants to Option Holder the right, exercisable at Option Holder’s sole discretion and at any time during the Exercise Period to make additional investment in the Company by subscribing for and purchasing additional Shares in the share capital of the Company, at the subscription price equal to the then applicable Exercise Price, and in an aggregate investment amount up to the Maximum Exercise Amount on the terms and conditions set out hereunder (the “HTIT Option”).

• An Option Exercise Notice shall specify (i) the Exercise Amount that Option Holder commits to invest and (ii) the corresponding number of Option Shares (based on the then applicable Exercise Price).

More Definitions of Exercise Amount

Exercise Amount. The meaning set forth in Section 3.7(d) hereof.

Exercise Amount means, in the case of Securities for which Physical Settlement applies, the amount payable by the intended recipient of the Reference Assets upon exercise of such Securities, as specified in the relevant Pricing Supplement.

Exercise Amount means the portion of the Prepaid Amount of this Warrant being exercised and any Exercise Default Payments payable with respect thereto, each as specified in the notice of exercise in the form attached hereto (the "Notice of Exercise").

Exercise Amount means the sum of (a) the Option Price multiplied by the number of vested options being exercised plus (b) an amount sufficient to pay all applicable FICA and withholding taxes on the difference between the Fair Market Value of Georgia-Pacific Group Stock for which the vested options are being exercised (determined as of the exercise date) and their Option Price, as calculated by the Plan Administrator or the Agent, if any.
