Exercise Limitation definition

Exercise Limitation means, at a given time, 4.99% of the number of shares of Common Stock issued and outstanding at such time (assuming for such purposes, that the such exercise or partial exercise has been effected as of the relevant date); provided, however, that the Holder may elect, upon sixty-one (61) days' prior written notice from the Holder to the Company, to change the Exercise Limitation applicable to the Holder and its Affiliates to 9.5% of the number of shares of Common Stock issued and outstanding at such time (assuming for such purposes, that the such exercise or partial exercise has been effected as of the relevant date). This Section 4(a) may not be amended unless such amendment is approved by the holders of a majority of the Common Stock then outstanding; or

Examples of Exercise Limitation in a sentence

  • The first option shall be for the maximum portion of the Number of Option Shares that can comply with the ISO Exercise Limitation without causing the Option to be unexercisable in the aggregate as to Vested Shares on the Vesting Date for such shares.

  • The second option, which shall not be treated as an Incentive Stock Option as described in section 422(b) of the Code, shall be for the balance of the Number of Option Shares; that is, those such shares which, on the respective Vesting Date for such shares, would be unexercisable if included in the first option and thereby made subject to the ISO Exercise Limitation.

  • Notwithstanding any other provision of this Option Agreement, if compliance with the ISO Exercise Limitation as set forth in Section 4.1(b) will result in the exercisability of any Vested Shares being delayed more than thirty (30) days beyond the date such shares become Vested Shares (the “Vesting Date”), the Option shall be deemed to be two (2) options.

  • The ISO Exercise Limitation shall terminate upon the earlier of (i) the Optionee’s termination of Service, (ii) the day immediately prior to the effective date of a Change in Control in which the Option is not assumed or substituted for by the Acquiring Corporation as provided in Section 8, or (iii) the day ten (10) days prior to the Option Expiration Date.

  • If Section 422 of the Code is amended to provide for a different limitation from that set forth in this provision, the ISO Exercise Limitation shall be deemed amended effective as of the date required or permitted by such amendment to the Code.

  • Such limitation on exercise shall be referred to in this Option Agreement as the "ISO Exercise Limitation."   • Purchase Limit means $900,000,000, as such amount may be reduced from time to time pursuant to Section 1.1(b) or increased from time to time pursuant to Section 1.1(d). References to the unused portion of the Purchase Limit shall mean, at any time, an amount equal to (x) the Purchase Limit at such time, minus (y) the sum of the Aggregate Capital plus the LC Participation Amount.

  • Minimum Exercise Amount means the Minimum Exercise Amount as specified in § 1 of the Product and Underlying Data.

  • Initial Exercise Price shall have the meaning set forth in Section 2.4.1.

  • Total Exercise Price shall have the meaning set forth in Section 4(a) hereof.

  • Dose limits means the permissible upper bounds of radiation doses established in accordance with these rules. For purposes of these rules, “limits” is an equivalent term.

  • Initial Exercise Date shall have the meaning ascribed to such term in the Preamble.

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Expense Limit means the percentage of a Fund’s average annual net assets (on an annualized basis) set forth below.

  • Automatic Exercise Date means, with respect to an Option or a Stock Appreciation Right, the last business day of the applicable Option Term or Stock Appreciation Right Term that was initially established by the Administrator for such Option or Stock Appreciation Right (e.g., the last business day prior to the tenth anniversary of the date of grant of such Option or Stock Appreciation Right if the Option or Stock Appreciation Right initially had a ten-year Option Term or Stock Appreciation Right Term, as applicable).

  • Cashless Exercise Ratio means a fraction, the numerator of which is the excess of the Current Market Value per share of Common Stock on the Exercise Date over the Exercise Price per share as of the Exercise Date and the denominator of which is the Current Market Value per share of the Common Stock on the Exercise Date.

  • New Exercise Date means a new Exercise Date if the Administrator shortens any Offering Period then in progress.

  • Automatic Exercise Applicable; and means that for each Expiration Date, a number of Warrants equal to the Daily Number of Warrants for such Expiration Date will be deemed to be automatically exercised at the Expiration Time on such Expiration Date.

  • Cash Exercise with respect to Warrant Shares; and/or

  • Exercise Payment means the amount of money equal to the Exercise Price multiplied by the number of Optioned Shares specified in the Notice of Exercise;

  • Option Exercise Period has the meaning set forth in Section 6.4.

  • Demand Exercise Notice has the meaning set forth in Section 2.1(a).

  • Exercise Price Per Share hereinafter “Exercise Price” means the exercise price with respect to all Shares acquired pursuant to each exercise of the Option).

  • Exercise Amount has the meaning set forth in Section 2(a).

  • Number of Shares means a number of shares calculated as follows: Par / Geared Put Strike LPU rounded down to the nearest round lot as permitted by the Exchange for trading purposes, and the remaining fractional share amount (being the “Residual Amount”) shall be paid in USD as the Cash Residual; and

  • Initial Warrant Exercise Date means __________, 1997.

  • Conversion Right has the meaning provided in Section 4.5(a) hereof.

  • Applicable Share Limit means a number of Shares equal to (A) the minimum number of Shares that could give rise to reporting or registration obligations or other requirements (including obtaining prior approval from any person or entity) of a Dealer Person, or could result in an adverse effect on a Dealer Person, under any Applicable Restriction, as determined by Dealer in its reasonable discretion, minus (B) 1% of the number of Shares outstanding.

  • Retraction Call Right has the meaning ascribed thereto in the Exchangeable Share Provisions;
