Existing Credit Facility definition

Existing Credit Facility means the credit facility evidenced by that certain Credit Agreement, dated as of March 25, 2010, among the Borrower, the lenders party thereto, and JPMCB, as administrative agent, as amended.

Existing Credit Facility means the credit agreement dated as of June 26, 2015 between, inter alios, the Borrower and the lenders party thereto, as amended, amended and restated, supplemented or otherwise modified from time to time.

Existing Credit Facility means the credit facility provided under the Existing Credit Agreement.

• Evidence that each “Lender” under the Existing Credit Agreement shall have, as of the Effective Date, received payment in full of all accrued and unpaid interest, facility fees and letter of credit participation fees owing to such Lender under the Existing Credit Facility and the Borrowings and other adjustments to the Loans described in Section 2.02(e) shall have occurred.

• The Administrative Agent shall have received a certificate, signed by an Authorized Officer of APA, stating that APA or its Subsidiaries have terminated in full and reduced to zero all Commitments under, and as defined in, the Existing Credit Facility.

• Borrowers may only use the Advances (1) to repay Indebtedness on the Closing Date in accordance with payoff letters received by the Administrative Agent, including, without limitation, with respect to the Existing Credit Facility; (2) to pay fees and Expenses relating to the transactions contemplated by the Loan Documents; and (3) for general corporate purposes and working capital needs allowed under this Agreement.

• The proceeds of the Initial Term Loans shall be used to (a) refinance the Existing Credit Facility (including, without limitation, to cash collateralize the existing letters of credit thereunder, as applicable) and other existing indebtedness of the Loan Parties in the principal amount of up to $3,340,777.46, (b) pay certain accounts payable which are due and owing and (c) pay fees and expenses in connection with the transactions contemplated hereby and for other general corporate purposes.

• Each Letter of Credit (as defined in the Existing Credit Facility) issued under the Existing Credit Facility, outstanding as of the Effective Date, and specified on Schedule 2.4(o) (each an “Existing Letter of Credit”) is hereby deemed to be a Letter of Credit (i) issued for the account of the Additional Borrower identified in Schedule 2.4(o) as the “obligor” therefor as of the Effective Date and (ii) outstanding under this Agreement as of the Effective Date.

Existing Credit Facility means that certain Credit Agreement, dated as of October 21, 2013, by and among the Initial Borrowers, as borrowers, Xxxxx Fargo, as administrative agent, issuing lender and swing line lender, the financial institutions party thereto from time to time as lenders and the other parties party thereto from time to time, as amended prior to the date hereof.

Existing Credit Facility means the Credit Agreement dated as of March 13, 2007, among the Issuer, Xxxxx 0 Parent, the lenders party thereto and Xxxxxxx Xxxxx Capital Corporation, as Administrative Agent, as amended and restated by the Thirteenth Amendment Agreement as of November 29, 2019.

Existing Credit Facility is defined in Section 9.8.

Existing Credit Facility means that certain Financing Agreement, dated as of February 28, 2020 (as amended, restated, supplemented or otherwise modified prior to the Effective Date, including by the first amendment thereto, dated as of August 4, 2020), by and among the Administrative Borrower the other Loan Parties signatories thereto, the Existing Lenders and the Existing Agent, together with all other documents and instruments relating thereto.

Existing Credit Facility means the Amended and Restated Multi-year $1,500,000,000 Credit Agreement, dated as of August 21, 2015, among the Company, the lenders from time to time party thereto and Bank of America, N.A., as Administrative Agent, L/C Issuer and lender, as amended, restated, supplemented or otherwise modified prior to the date of this Agreement.

Existing Credit Facility means the Credit Facility evidenced by that certain Credit and Guaranty Agreement, dated as of June 26, 2007 (as amended, amended and restated, supplemented or otherwise modified from time to time), among Ainsworth, the Guarantors, various lenders from time to time party thereto, and Goldman Sachs Table of Contents Credit Partners L.P., as Administrative Agent and Collateral Agent, together with its successors and assigns in such capacity.
