Existing Credit Facility definition

Existing Credit Facility means the credit facility evidenced by that certain Credit Agreement, dated as of October 26, 2006, by and among the Borrower, the lenders party thereto, and JPMCB, as administrative agent, as amended.

Existing Credit Facility means the credit facility provided under the Existing Credit Agreement.

Existing Credit Facility has the meaning specified in the recitals hereto.

• Except for, solely prior to the Convertible Note Closing, the Existing Credit Facility (as such term is defined in the Bridge Note), there is no Indebtedness of the Company that ranks senior in right of payment to the Bridge Note, whether with respect to payment of principal, interest, redemption, fees, or penalties, or upon liquidation or dissolution of the Company, or otherwise.

Existing Credit Facility means the Credit Agreement dated as of December 1, 2004, among the Issuer, Parent, the lenders party thereto, and Xxxxxxx Xxxxx Capital Corporation, as Administrative Agent, as amended and restated as of June 27, 2006.
