Expenses of the Selling Shareholders. The Selling Shareholders, jointly and severally, will pay all expenses incident to the performance of their respective obligations under, and the consummation of the transactions contemplated by, this Agreement, including (i) any stamp and other duties and stock and other transfer taxes, if any, payable upon the sale of the Securities to the Underwriters and their transfer between the Underwriters pursuant to an agreement between such Underwriters, and (ii) the fees and disbursements of their respective counsel and other advisors.

Expenses of the Selling Shareholders. Each Selling Shareholder will, with respect to any Securities sold by such Selling Shareholder to the Underwriters pursuant to this Agreement, pay (i) any stamp and other duties and stock and other transfer taxes, if any, payable upon the sale of the Securities to the Underwriters and their transfer between the Underwriters pursuant to an agreement between such Underwriters, and (ii) all underwriting discounts and commissions relating to the sale of such Selling Shareholder’s Securities.

It being understood, however, that the Company should bear, and the Selling Shareholders shall not be required to pay or to reimburse the Company for, the fees and expenses of Weil, Gotshal & Manges LLP in connection with the transactions contemplated by this Axxxxxxnt or the cost of any other matters not directly relating to the sale and purchase of the Securities by the Selling Shareholders pursuant to this Agreement.

Expenses of the Selling Shareholders. For the avoidance of doubt, it is understood that the Selling Shareholders will pay all of their own underwriting discounts, commissions, stock transfer taxes, stamp duties and other similar taxes, if any, payable upon the sale or delivery of their Securities pursuant to this Agreement, as well as all other fees and disbursements of counsel for the Selling Shareholders not paid by the Company pursuant to Section 5(a).
