Expert Matter definition

Expert Matter means an issue arising under this Agreement due to a difference of business or scientific judgment, but pertaining only to:

Expert Matter means all matters that are referenced in Section 3.6.2 as being, or otherwise mutually agreed by the Parties to be, determinable by an Expert. For clarity, no Party shall have final decision making authority with respect to an Expert Matter.

  • Any Expert Matter shall be first referred to the Parties’ Senior Executives prior to proceeding under the following provisions of this Section 14.2(a).

  • Within [*****] after appointment of the Expert, each Party shall submit to the Expert, with a copy to the other Party, one (1) proposal for resolving the applicable Expert Matter, including the proposed Agreement Payment and a reasonably detailed analysis of the model prepared by such Party taking into account the factors described in Section 9.2(c) to determine the proposed Agreement Payment.

  • For clarity, no Party shall have final decision making authority with respect to an Expert Matter.

  • Any dispute between the Parties regarding amounts of payments due from one Party to the other under this Agreement, including any dispute regarding characterization of costs as Development Costs or Commercialization Costs for purposes of determining such payments, shall be resolved as an Expert Matter in accordance with Section 14.2(a).

  • Whenever a Dispute arises that involves an Expert Matter, such Dispute shall be exclusively resolved by an expert appointed as described in this Section 5 (an “Expert”) in accordance with the procedures set forth in this Section 5.

  • Any dispute as to whether a particular dispute is an Expert Matter shall be resolved by litigation pursuant to Section 15.3.

  • Unless otherwise agreed to by the Parties, the Expert Committee may not decide any issues other than the applicable Expert Matter.

  • Any dispute as to whether a particular dispute is an Arbitrable Matter, a Litigable Matter or an Expert Matter shall be resolved by arbitration pursuant to this Section 13.2. If the determination of the nature of the dispute is urgent, it may be resolved as an emergency matter by an emergency arbitrator pursuant to Article 37 of the AAA Rules.

Related to Expert Matter

  • Subject Matter Expert means a person who has working or expert knowledge about a particular topic or field.

  • Dispute means any dispute, controversy, claim or difference of whatever nature arising out of, relating to, or having any connection with this Agreement, including a dispute regarding the existence, formation, validity, interpretation, performance or termination of this Agreement or the consequences of its nullity and also including any dispute relating to any non-contractual rights or obligations arising out of, relating to, or having any connection with this Agreement.

  • Agreement Disputes shall have the meaning set forth in Section 6.1.

  • Secret Matter means any matter connected with or arising out of the performance of this Contract which has been, or may hereafter be, by a notice in writing given by the Customer to the Supplier be designated ‘top secret’, ‘secret’, or ‘confidential’;

  • Subject Matter means the Unit as finally described in the Sectional Plan, read together with the Register;

  • Disputes shall have the meaning set forth in Section 7.1.

  • Legal Dispute means any action, suit or proceeding between or among the Parties arising in connection with any disagreement, dispute, controversy or claim arising out of or relating to this Agreement or any related document.

  • Litigation means any action, suit or proceeding before any court, mediator, arbitrator or Governmental Authority.

  • Mediation means any process in which a mediator facilitates communication and negotiation between the parties to assist them in reaching a voluntary agreement regarding their dispute.

  • Resolve and the correlative terms, “Resolved”, “Resolving” and “Resolution” each means that the Services are restored to a point where the Customer can perform their job. In some cases, this may only be a work around solution until the root cause of the Error or Unplanned Disruption is identified and corrected (the need for restoration of normal service supersedes the need to find the root cause of the incident).

  • Disagreement means a difference of opinion between personnel of a reporting issuer responsible for finalizing the reporting issuer’s financial statements and the personnel of a predecessor auditor responsible for authorizing the issuance of audit reports on the reporting issuer’s financial statements or authorizing the communication of the results of the auditor’s review of the reporting issuer’s interim financial report, if the difference of opinion

  • Tax Matter has the meaning set forth in Section 7.01.

  • Expert is defined in Section 7.9 of this Agreement.

  • Technical Dispute has the meaning specified in Section 12.2;

  • the decisions means the decisions of the CMA on the questions which it is required to answer by virtue of section 35 of the Act;

  • Matter is a claim, a material issue or a substantial request for relief.

  • Resolved With respect to a Repurchase Request, means that (i) the related Material Defect has been cured, (ii) the related Mortgage Loan has been repurchased in accordance with the related Mortgage Loan Purchase Agreement, (iii) a mortgage loan has been substituted for the related Mortgage Loan in accordance with the related Mortgage Loan Purchase Agreement, (iv) the applicable Mortgage Loan Seller has made a Loss of Value Payment, (v) a contractually binding agreement has been entered into between the Enforcing Servicer, on behalf of the Trust, and the related Mortgage Loan Seller that settles the related Mortgage Loan Seller’s obligations under the related Mortgage Loan Purchase Agreement, or (vi) the related Mortgage Loan is no longer property of the Trust as a result of a sale or other disposition in accordance with this Agreement.

  • Licensed Subject Matter means Patent Rights and/or Technology Rights.

  • Formal Dispute means a written objection by an Interested Party to any of the following:

  • Tax Dispute has the meaning set forth in Section 5.06.

  • Expert witness or “expert” means a person who is retained to render an opinion regarding an issue relevant to a case, whether or not the person actually testifies in court.

  • Arbitration means any arbitration whether or not administered by a permanent arbitral institution;
