Extension Response Date definition

Extension Response Date is defined in Section 3.1.3.

Examples of Extension Response Date in a sentence

• If any Lender shall fail to give such notice to Administrative Agent by the Extension Response Date, such Lender shall be deemed to have rejected the requested extension.

• Any Domestic Revolving Lender which does not expressly notify the Administrative Agent on or before the Domestic Revolving Lender Extension Response Date for such Domestic Revolving Commitment Extension that it wishes to so extend the then-existing Domestic Revolving Maturity Date applicable to such Domestic Revolving Lender’s Domestic Revolving Commitment shall be deemed to have rejected the Parent Borrower’s request for such Domestic Revolving Commitment Extension.

• If fewer than all Lenders so consent (each Lender not consenting being referred to as a "Terminating Lender"), EDS shall within five (5) days after the Extension Response Date notify Administrative Agent (which shall promptly notify each Lender) whether EDS elects to withdraw its request for an extension of the Commitment Termination Date or to extend the Commitment Termination Date for all Lenders that have consented to such extension.

• Each Lender electing (in its sole and complete discretion) so to extend the scheduled Termination Date shall deliver signed counterparts of such letter to Borrowers and the Agent no later than 30 days after the date of such request by Borrowers (such 30th day, the "Extension Response Date").

• Any Revolving Lender which does not expressly notify the Administrative Agent on or before the Revolving Lender Extension Response Date for such Revolving Commitment Extension that it wishes to so extend the then-existing Revolving Maturity Date applicable to such Revolving Lender’s Revolving Commitment shall be deemed to have rejected the U.S. Borrower’s request for such Revolving Commitment Extension.

• If fewer than all Lenders so consent (each Lender rejecting the requested extension being referred to as a "Terminating Lender"), EDS shall within five (5) days after the Extension Response Date notify Administrative Agent (which shall promptly notify each Lender) whether EDS elects to withdraw its request for an extension of the Commitment Termination Date or to extend the Commitment Termination Date for all Lenders that have consented to such extension.

• The Administrative Agent shall notify the Borrower of the Term Lenders’ elections promptly following the Term Extension Response Date.

• If any Bank or the Issuing Bank shall fail to give such notice to the Agent by the Extension Response Date, such Bank or the Issuing Bank, as the case may be, shall be deemed to have rejected the requested extension.
