E&Y LLP definition

E&Y LLP means Ernst & Young LLP and its past, present and future parent entities, affiliates (including, without limitation, EYCA), subsidiaries, predecessors and successors, and each of their assigns, insurers, partners, employees, agents, attorneys, counsel, trustees, and administrators, as well as the insurers, heirs, executors, trustees, general or limited partners or partnerships, personal representatives, estates, administrators, families, and spouses of each of their partners, employees and agents.
E&Y LLP means Ernst & Young LLP and all of their past, present and future affiliated firms, subsidiaries, predecessors and successors; and for each such firm, all of its respective assigns, insurers, partners, employees, agents, attorneys, counsel, trustees, and administrators; as well as each such individual’s heirs, executors, personal representatives, estates, administrators, families and spouses.

  • All services for which EY LLP requests compensation were performed for or on behalf of the Debtors.

  • EY LLP performed efficiently, effectively and economically, and the results obtained have benefited the Debtors, their estates and creditors.

  • EY LLP is authorized to be compensated under the terms set forth in the engagement letters between the Debtors and EY LLP, and to be reimbursed for actual and necessary out-of-pocket expenses.

  • Independent Financial Adviser means an independent financial institution of international repute appointed by the Company at its own expense.

  • Opinion means an opinion from Company’s independent legal counsel, in the form attached as Exhibit E or in such other form agreed upon by the parties, to be delivered in connection with the Commitment Closing and any Tranche Closing.

  • Counsel means a barrister and/or solicitor or a firm of barristers and/or solicitors retained by the Warrant Agent or retained by the Corporation, which may or may not be counsel for the Corporation;

  • Purchaser's Accountants means Deloitte & Touche LLP, independent accountants of the Purchaser.

  • Seller’s Accountants means Xxxxxxx & Xxxxxx.

  • Company U.S. Counsel means Xxxxxx Xxxxxxx Xxxxxxxx & Xxxxxx, Professional Corporation.

  • Financial Adviser means any:

  • Company Financial Advisor has the meaning set forth in Section 3.10.

  • Borrower’s Counsel means Xxxxxx Xxxx Philips & Xxxxxxxx XXX, Xxxxxxx, Xxxxxxx or such other firm of legal counsel as the Borrowers may from time to time designate;

  • Representation Letters means the statements of facts and representations, officer’s certificates, representation letters and any other materials (including, without limitation, a Ruling Request and any related supplemental submissions to the IRS or other Tax Authority) delivered by EQT, SpinCo or any of their respective Affiliates or representatives in connection with the rendering by Tax Advisors, and/or the issuance by the IRS or other Tax Authority, of the Tax Opinions/Rulings.

  • Accountants shall have the meaning set forth in Section 9.7 hereof.

  • Plaintiffs’ Counsel means Lead Counsel and all other legal counsel who, at the direction and under the supervision of Lead Counsel, performed services on behalf of the Settlement Class in the Action.

  • Special Counsel means an "independent legal counsel" as defined in Reg. §270.0-1(a)(6) promulgated under the 1940 Act, and such counsel shall be selected by a majority of the Independent Non-Party Directors.

  • Closing time means the date and hour specified in the bidding documents for the receipt of bids.
