FILO Commitments definition

FILO Commitments has the meaning set forth in Section 2.01(b).
FILO Commitments means the aggregate amount of such commitments of all Lenders.
FILO Commitments means, with respect to a Lender, the commitment of such Lender to make FILO Loans pursuant to Section 2.01, expressed as an amount representing the maximum aggregate permitted amount of such Lender’s FILO Loans hereunder. The initial amount of each Lender’s FILO Commitment is set forth on Schedule 1 to the FILO Amendment or in the Assignment and Acceptance pursuant to which such Lender shall have assumed its FILO Commitment, as applicable. The aggregate amount of the Lenders’ FILO Commitments on the FILO Amendment Effective Date is $8.5 million.

Examples of FILO Commitments in a sentence

  • Notwithstanding the foregoing, in the event that all of the Tranche A Commitments are terminated, the FILO Commitments shall be terminated contemporaneously therewith, without further action by the Administrative Agent, the Lead Borrower or any other Person.

  • For the avoidance of doubt, the FILO Lenders (in such capacity) shall not participate in the Swing Line Loans or have any obligations under this Section 2.04, and “Applicable Percentage” as determined under this Section 2.04 shall exclude the FILO Commitments and the Aggregate FILO Commitments.

  • Only one retained earnings account will be required as per the existing system.

  • The FILO Commitments will be available to the Borrower and Solvest for FILO Loans (as defined below) in U.S. Dollars, with a sublimit available in Euros, Sterling and such other currencies as are acceptable to each Lender and the ABL Administrative Agent.

  • The maturity date of any FILO Commitments shall be no later than the Maturity Date.

  • Upon at least 30 days prior written notice to Agent at any time after the first Loan Year, Borrowers may, at their option, terminate the FILO Commitments.

  • Any Lender wishing to participate in the FILO Exchange Offer shall notify the Administrative Agent on or prior to the date specified in such FILO Exchange Offer of the amount of its existing U.S. Revolving Commitments, or existing Canadian Revolving Commitments, as the case may be, which it requests be converted into FILO Commitments.

  • For each rejected revision, the owner or operator shall explain the basis for rejecting such revision.


More Definitions of FILO Commitments

FILO Commitments means the aggregate amount of such commitments of all FILO Lenders. As of the First Amendment Effective Date, the FILO Commitments are $25,000,000 and will amortize as set forth in Section 2.1.4(c).
FILO Commitments means, with respect to a Lender, the commitment of such Lender to make FILO Loans pursuant to Section 2.01, expressed as an amount representing the maximum aggregate permitted amount of such Lender’s FILO Loans hereunder. The initial amount of each Lender’s FILO Commitment is set forth on Schedule 1 to the FILO Amendment or in the Assignment and Acceptance pursuant to which such Lender shall have assumed its FILO Commitment, as applicable. The aggregate amount of the Lenders’ FILO Commitments on the FILO Amendment Effective Date is$8.5 million.

  • Revolving Commitments means such commitments of all Lenders in the aggregate. The amount of each Lender’s Revolving Commitment, if any, is set forth on Appendix A or in the applicable Assignment Agreement, subject to any adjustment or reduction pursuant to the terms and conditions hereof. The aggregate amount of the Revolving Commitments as of the Closing Date is $500,000,000.

  • New Revolving Commitments has the meaning assigned to such term in Section 2.04.

  • Other Revolving Commitments means one or more Classes of revolving credit commitments hereunder or extended Revolving Commitments that result from a Refinancing Amendment or a Loan Modification Agreement.

  • Total Revolving Commitments at any time, the aggregate amount of the Revolving Commitments then in effect.

  • Aggregate Revolving Commitments means the Revolving Commitments of all the Lenders. The amount of the Aggregate Revolving Commitments in effect on the Closing Date is SIX HUNDRED MILLION DOLLARS ($600,000,000).

  • Existing Revolving Commitments has the meaning specified in Section 2.17(b).

  • Replacement Revolving Commitments shall have the meaning assigned to such term in Section 2.22.

  • Revolver Commitments means the aggregate amount of such commitments of all Lenders.

  • Incremental Revolving Commitments has the meaning specified in Section 2.14(a).

  • Extended Revolving Commitments has the meaning specified in Section 2.16(2).

  • Total Commitments means the aggregate of the Commitments of all the Lenders.

  • Designated Revolving Commitments means the amount or amounts of any commitments to make loans or extend credit on a revolving basis to the Company or any of its Restricted Subsidiaries by any Person other than the Company or any of its Restricted Subsidiaries that has or have been designated (but only to the extent so designated) in an Officers’ Certificate delivered to the Trustee as “Designated Revolving Commitments” until such time as the Company subsequently delivers an Officers’ Certificate to the Trustee to the effect that the amount or amounts of such commitments shall no longer constitute “Designated Revolving Commitments.”

  • Revolving Credit Commitments means the aggregate Revolving Credit Commitments of all of the Lenders.

  • Refinancing Revolving Commitments means one or more Classes of Revolving Loan commitments hereunder that result from a Refinancing Amendment.

  • New Loan Commitments shall have the meaning provided in Section 2.14(a).

  • Aggregate Revolving Commitment means the aggregate of the Revolving Commitments of all of the Revolving Lenders, as reduced or increased from time to time pursuant to the terms and conditions hereof. As of the Effective Date, the Aggregate Revolving Commitment is $1,000,000,000.

  • Total Facility B Commitments means the aggregate of the Facility B Commitments, being €30,000,000 at the date of this Agreement.

  • Aggregate Revolving Credit Commitments means, at any time, the aggregate amount of the Revolving Credit Commitments of the Revolving Credit Lenders at such time.

  • New Revolving Credit Commitments shall have the meaning provided in Section 2.14(a).

  • Total Revolving Credit Commitments at any time, the aggregate amount of the Revolving Credit Commitments then in effect.

  • Total Revolving Commitment means the sum of the Revolving Commitments of the Revolving Lenders as the same may be decreased pursuant to Section 2.12(c) or increased pursuant to Section 2.19. As of the Closing Date, the amount of the Total Revolving Commitment is $100,000,000.

  • Revolving Commitment Increase Lender has the meaning specified in Section 2.14(a).

  • Total Facility A Commitments means the aggregate of the Facility A Commitments, being €300,000,000 at the date of this Agreement.

  • Revolving Commitment Increase has the meaning set forth in Section 2.14(a).

  • Revolving Loan Commitments means such commitments of all Lenders in the aggregate.

  • U.S. Revolving Commitment means the commitment of a Lender to make or otherwise fund any U.S. Revolving Loan and to acquire participations in U.S. Letters of Credit and Swing Line Loans hereunder and “U.S. Revolving Commitments” means such commitments of all Lenders in the aggregate. The amount of each Lender’s U.S. Revolving Commitment, if any, is set forth on Schedule 1.01(c) or in the applicable Assignment Agreement or Joinder Agreement, as applicable, subject to any adjustment or reduction pursuant to the terms and conditions hereof. The aggregate amount of the U.S. Revolving Commitments as of the Closing Date is $265,000,000.
