Final Cash Amount definition

Final Cash Amount shall have the meaning set forth in Section 2.13(b)(v).

Final Cash Amount has the meaning set forth in Section 2.4(e).

Final Cash Amount means the Initial Cash Amount less the adjustment payment, if any, required to be made by the Company pursuant to Section 3.02(g)(iii).

• On such date, each Security will be partially redeemed by the Issuer in respect of a portion of the Nominal Amount of such Security equal to the Instalment Reference Amount by payment of the Instalment Cash Amount.On payment of the Instalment Cash Amount, the Nominal Amount of each Security will automatically be reduced by an amount equal to the Instalment Reference Amount.(b) in respect of the Final Cash Amount, the Final Settlement Date.

• If the Parties are unable to resolve a dispute as to the Final Cash Amount within thirty (30) days after One Stone’s receipt of Magellan’s proposed revised Final Settlement Statement, the Parties shall submit the dispute to binding arbitration to be conducted in accordance with the provisions of Section 5 of this Annex 2.

• After the receipt of the Protest Letter by Buyer, Seller and Buyer shall meet by telephone, or at a mutually agreeable location, to discuss and attempt to reconcile their differences with respect to the amount of the Final Net Working Capital or Final Cash Amount (the “Challenged Amounts”).

More Definitions of Final Cash Amount

Final Cash Amount has the meaning assigned to such term in Section 2.03(a)(vi).

Final Cash Amount. As defined in Section 1.8(a).

Final Cash Amount means the aggregate in US dollars as at close of business on the Completion Date of cash at bank as reflected in the books of the Company and cash in hand and current investments of the Company in each case where the entity with which the cash is placed or which is the issuer of the investments is not a member of the Vendor’s Group at Completion;

Final Cash Amount means the definitive Cash Amount agreed to (or deemed to be agreed to) by AHD and Atlas in accordance with the terms of Section 2.12(d) or the definitive Cash Amount resulting from the determinations made by the Neutral Auditors in accordance with this Section 2.12(e) (in addition to those items theretofore agreed to by Atlas and AHD).

Final Cash Amount means the aggregate of all the Final Cash Balances for each Company, expressed in Euros provided, that, in no event shall the Final Cash Amount exceed €60,000,000 for purposes of any payments and adjustments set forth in this Agreement, irrespective of the actual amount of the Final Cash Balances;

Final Cash Amount means the Cash as at the close of business on the Completion Date;

Final Cash Amount means the Cash Amount as of the Effective Time as finally determined pursuant to Section 3.05.
