Closing Amount definition

Closing Amount has the meaning set forth in Section 2.2.
Closing Amount means the Preliminary Purchase Price adjusted as provided in Section 2.02, using for such adjustments the best information then available and after deduction of the Deposit.
Closing Amount shall have the meaning set forth in Section 3.5(c)(iii).

Examples of Closing Amount in a sentence

  • Promptly after (and in any event no later than the first business day after) the Offer Acceptance Time, Parent shall deposit, or shall cause to be deposited, with the Depository Agent cash sufficient to make the payment of the aggregate Closing Amount (payable in respect of the Merger Consideration) payable pursuant to Section 1.01(h).

  • On or prior to the Closing Date, Parent shall deposit, or shall cause to be deposited, with the Paying Agent cash sufficient to pay the aggregate Closing Amount (payable in respect of the Merger Consideration) payable pursuant to Section 2.05 (together with the amount deposited pursuant to the immediately preceding sentence, the “Payment Fund”).

More Definitions of Closing Amount

Closing Amount means the Purchase Price, adjusted as provided in this Section using reasonable estimates as agreed to by the Parties if actual numbers are not available. After Closing, the Purchase Price shall be adjusted pursuant to the Settlement Statement delivered pursuant to Section 13.1.
