Final Circular definition

Final Circular means the offering circular, dated June 12, 2007, relating to the Securities, including any and all annexes thereto and any information incorporated by reference therein as of such date.
Final Circular shall include in each case the documents incorporated by reference therein (the "Incorporated Documents"), and any and all supplements and amendments to such documents incorporated by reference therein and any and all amendments and supplements to the Preliminary Circular or the Final Circular, as the case may be, and the term "Circular" shall include the Preliminary Circular and the Final Circular. The terms "supplement", "amendment" and "amend" as used herein shall include all documents deemed to be incorporated by reference in the Preliminary Circular or Final Circular that are filed subsequent to the date of such Circular with the Commission pursuant to the Exchange Act.
Final Circular shall be deemed to mean and include all information filed under the Exchange Act prior to the Execution Time and incorporated by reference in the Disclosure Package or the Final Circular (collectively, the “Incorporated Documents”).

  • The statements set forth in the third, eleventh and twelfth paragraphs under the caption “Plan of Distribution” in the Preliminary Circular and the Final Circular (to the extent such statements relate to the Initial Purchasers) constitute the only information furnished by or on behalf of any Initial Purchaser to the Company or the Guarantors for purposes of Section 3(i) and this Section 10.

  • The relative benefits received by the Company on the one hand and the Initial Purchaser on the other shall be deemed to be in the same proportion as the total net proceeds from the offering (before deducting expenses) received by the Company bears to the total underwriting discounts and commissions received by the Initial Purchasers, in each case as set forth in the table on the cover page of the Final Circular.

We will either, as soon as practicable after the later of the date of the Invitation Wire or the date made available to us by the Issuer, furnish to you (or make available for your review) a copy of any Preliminary Offering Circular or any proof or draft of the Offering Circular. In any event, in any Offering involving an Offering Circular, the Manager will furnish, make available to you, or make arrangements for you to obtain, as soon as practicable after sufficient quantities thereof are made available by the Issuer, copies (which may, to the extent permitted by law, be in electronic form) of the Preliminary Offering Circular and Offering Circular, as amended or supplemented, if applicable (but excluding, for this purpose, documents incorporated therein by reference).

  • CREFC® REO Liquidation Report Template A report substantially in the form of, and containing the information called for in, the downloadable form of the “REO Liquidation Report Template” available as of the Closing Date on the CREFC® Website, or such other form for the presentation of such information and containing such additional information as may from time to time be approved by the CREFC® for commercial mortgage securities transactions generally.

  • CREFC® Loan Liquidation Report Template A report substantially in the form of, and containing the information called for in, the downloadable form of the “Loan Liquidation Report Template” available as of the Closing Date on the CREFC® Website, or such other form for the presentation of such information and containing such additional information as may from time to time be approved by the CREFC® for commercial mortgage securities transactions generally.

  • Information Statement means the information statement to be made available to the holders of Parent Shares in connection with the Distribution, as such information statement may be amended or supplemented from time to time prior to the Distribution.

  • Final Memorandum shall have the meaning set forth in the Purchase Agreement.

  • Preliminary Offering Circular means any preliminary offering circular or memorandum, if any, or any other written preliminary materials authorized by the Issuer to be used in connection with such an Offering.   • Distribution Report The meaning specified in Section 10.7(b).

  • Distribution Statement has the meaning set forth in Section 5.02(c) of the Trust Agreement.

  • Proxy Statement/Prospectus has the meaning set forth in Section 6.03(a).

  • Remittance Information means the information that must specify the Billing Account Numbers (BANs) paid; invoices paid and the amount to be applied to each BAN and invoice.

  • Balance Information We use the daily balance method to calculate the interest on the account. This method applies a daily periodic rate to the principal in the account each day. You must maintain a minimum balance of $1,000.00 in the account each day to obtain the disclosed annual percentage yield. Limitations: You must deposit $1,000.00 to open this account. You may not make additional deposits into this account. You may not make withdrawals from your account until the maturity date. Time Account Information: Your account will mature in the term of the Certificate of Deposit. If you withdraw any of the principal before the maturity date, we may impose a penalty of 90 days interest on the amount withdrawn. This account will automatically renew. You will have 10 CALENDAR DAYS after the maturity date to withdraw funds without penalty. If you do not withdraw the funds, each renewal term will be for an identical period of time as the original term.

  • Financial Monitoring Report or “FMR” means each report prepared in accordance with Section 4.02 of this Agreement;

  • Liquidation Report The report with respect to a Liquidated Mortgage Loan in such form and containing such information as is agreed to by the Servicer and the Trustee.

  • Final Report means the report described as a final report in 14 RCW 42.17.080(2).

  • Disclosure Statement Order means the order of the Bankruptcy Court approving the Disclosure Statement.

  • Draft Red Xxxxxxx Prospectus means the draft red xxxxxxx prospectus dated June 12, 2023 issued in accordance with the SEBI ICDR Regulations, which does not contain complete particulars of the price at which the Equity Shares will be Allotted and the size of the Offer, including any addenda or corrigenda thereto;

  • Joint Proxy Statement/Prospectus has the meaning set forth in Section 6.1(a).
