Final Financial Settlement definition

Final Financial Settlement means the process during which CMS compares the ACO’s final Performance Year Benchmark against the ACO’s Performance Year expenditures for REACH Beneficiaries to determine the amount of Shared Savings or Shared Losses in accordance with Section 12.04 and Appendix B of the Agreement, calculates the amount of Other Monies Owed, and calculates the net amount owed by either CMS or the ACO for the Performance Year.

  • Regardless of whether the ACO selects to participate in Provisional Financial Settlement for a Performance Year, following the end of each Performance Year, and at such other times as may be required under the Agreement, CMS will conduct Final Financial Settlement and issue a settlement report to the ACO setting forth the amount of any Shared Savings or Shared Losses, the amount of Other Monies Owed, and the net amount owed by either CMS or the ACO for the Performance Year.

  • Net Share Settlement Amount For any Settlement Date, an amount equal to the product of (i) the number of Warrants exercised or deemed exercised on the relevant Exercise Date, (ii) the Strike Price Differential for the relevant Valuation Date and (iii) the Warrant Entitlement.

In no event shall the Maximum Settlement Amount exceed the foregoing sum.

  • Physical Settlement Date means the date (which may occur after the Scheduled Maturity Date) specified as such in the Intended Physical Settlement Notice falling 10 Business Days after the date of the Intended Physical Settlement Notice.

  • Viatical settlement provider means a person, other than a viator, who enters into or effectuates a viatical settlement contract. Viatical settlement provider does not include:

  • Viatical settlement broker means a person, including a life insurance producer as provided for in section 508E.3, who, working exclusively on behalf of a viator and for a fee, commission, or other valuable consideration, offers or attempts to negotiate viatical settlement contracts between a viator and one or more viatical settlement providers or one or more viatical settlement brokers. Notwithstanding the manner in which the viatical settlement broker is compensated, a viatical settlement broker is deemed to represent only the viator, and not the insurer or the viatical settlement provider, and owes a fiduciary duty to the viator to act according to the viator’s instructions and in the best interest of the viator. “Viatical settlement broker” does not include an attorney, certified public accountant, or a financial planner accredited by a nationally recognized accreditation agency who is retained to represent the viator and whose compensation is not paid directly or indirectly by the viatical settlement provider or purchaser.

  • Final Settlement Statement has the meaning set forth in Section 2.6(b).

  • Structured settlement obligor means, with respect to any structured settlement, the party that has the continuing obligation to make periodic payments to the payee under a structured settlement agreement or a qualified assignment agreement.

  • CCASS Settlement Day means the term “Settlement Day” as defined in the General Rules of CCASS.

  • Mandatory Settlement Date means the earliest of:

  • Net Share Settlement means the settlement method pursuant to which an exercising Warrantholder shall be entitled to receive from the Company, for each Warrant exercised, a number of shares of Common Stock equal to the Net Share Amount without any payment therefor.
