Financing Conditions definition

Financing Conditions means the conditions precedent set forth in Section 5 of the Debt Commitment Letter and in Annex III to the Debt Commitment Letter.
Financing Conditions means, with respect to the Equity Financing, the conditions precedent set forth in the Equity Commitment Letter and, with respect to the Debt Financing, the conditions precedent set forth in Exhibit D of the Debt Commitment Papers.
Financing Conditions has the meaning set forth in Section 6.6(b).

  • There are no conditions precedent related to the funding of the full amount of the Financing, other than the Financing Conditions.
