Financing Event definition

Financing Event means the earlier of (i) a public offering by the Company of its Common Stock with aggregate gross proceeds of at least $5 million; or (ii) the listing of the Company’s Common Stock on a National Securities Exchange, as such term is defined under the Exchange Act.
Financing Event means equity financing by the Company, in which the equity is purchased by investors. Cumulative amount of proceeds shall mean the total amount of equity purchased by investors since the founding of the company.
Financing Event means, for any Performance Period, the closing of any financing event for capital raising purposes.

  • Principal due and interested accrued on this Note will automatically convert into shares of Common Stock, at the Conversion Price, if at any time during the Term the Company completes a Financing Event.

  • Value Appreciation Rent shall be due and payable concurrently with the Tenant Ownership Change or Financing Event giving rise to the obligation to pay Value Appreciation Rent (or, with respect to any disputed amount, on resolution of the dispute) and, in the situation of a Tenant Ownership Change, shall be the joint and several obligation of the transferee and transferor.

More Definitions of Financing Event

Financing Event means any financing or refinancing consummated by Tenant or by the holders of Ownership Interests that is not an “Excluded Financing,” whether with private or institutional investors or lenders, when such financing or refinancing results in any grant, pledge, assignment, transfer, mortgage, hypothecation, grant of security interest, or other encumbrance, of or in all or any portion of (A) the leasehold interest of Tenant’s or (B) Ownership Interests.
Financing Event means, for any Performance Period, the closing of any financing event for capital raising purposes. (aa) “Fiscal Year” means the fiscal year of the Company.
Financing Event means: (a) the closing of an equity or debt financing with gross proceeds equal to or greater than $4,000,000, (b) the execution of a licensing or collaboration agreement with an up-front payment equal to or greater than $4,000,000, (c) any combination of (a) and (b) whereby the gross proceeds are equal to or greater than $4,000,000, Immediately upon the closing of a Financing Event, provided Executive remains employed with the Company as of the date of the closing of the Financing Event, Executive’s salary shall be increased to 100% of Base Salary. The Compensation Committee of the Board (“Compensation Committee”) will consider whether any additional compensation shall be paid to Executive related to the period of Reduced Salary. Executive understands and agrees that Executive has already been paid all wages due and owing as of the date of this Agreement.
Financing Event shall have the meaning set forth in Section 13.1.
Financing Event is Xxxxxxxx’s delivery, on or prior to January 31, 2023, of evidence satisfactory to Bank in its reasonable discretion, confirming that Borrower has received, on or after October 1, 2022 but on or prior to January 31, 2023, unrestricted and unencumbered net cash proceeds in an amount of at least Five Million Dollars ($5,000,000.00) from the sale of Borrower’s equity securities to, or a Subordinated Debt financing with, investors acceptable to Bank in its good faith business judgment.”
Financing Event means receipt of unrestricted net cash proceeds by the Borrower, after the Funding Date of the Second Bridge Loan Advance but on or before June 30, 2008, from the closing of an equity round of financing with investors reasonably acceptable to the Lenders, in the amount of at least Fifteen Million Dollars ($15,000,000.00).
